Các bên đồng ý thực hiện việc góp vốn với các thoả thuận

Điều 1 : Nội dung góp vốn

Bên A đồng ý góp 10% với số tiền là 222 000 usd ,tương đương 4 950 000 000 (4 tỷ chín trăm năm mươi Đồng Việt Nam chẵn) vào công ty trách nhiệm Hữu Hạn Thuỷ Sản Bình Minh do ông Nguyễn Văn Lạc ,người Đại Diện Pháp Luật Cho Công ty .
Hình Thức Góp Vốn : Tiền Mặt ( Việt Nam Đồng )
Điều 2 : Thời gian góp vốn : Chia Thành 2 giai đoạn

Giai đoạn 1 : cọc với số tiền là 1 000 000 000( 1 tỷ đồng Việt Nam )
Giai đoạn 2 : vào ngày 17/2/2015 với số tiền là 3 950 000 000 ( ba tỷ chín năm mươi triệu đông)
Trong đó ,Hai bên A và B thoả hiệp các điều kiện sau đây :
*Bên B đồng ý cho bên A góp vốn 4 950 000 000( bốn tỷ chín trăm năm mươi triệu đồng vào công ty Bình Minh trong thời điểm Công Ty Bình Minh đang đầu tư và phát triển khu Đất 222 hecta,thuộc khu bảo tồn Thiên Nhiên Bình Châu - Phước Bửu,Xã Phước Thuận,Huyện Xuyên Mộc

Với điều kiện

* Bên A có trách nhiệm kêu gọi đầu tư,phát triển dự án khu du lịch nghỉ dưỡng Bình Minh sau khi trở thành cổ đông trong công ty
* Bên A sẽ không được hưởng bất kỳ lợi nhuận nào từ công ty nếu kể từ ngày A trở thành cổ đông,không có đóng góp thiết thực,không mang lại hiệu quả cho công ty Bình Minh .

* A sẽ không được thừa hưởng 10% trên cơ sở Cổ Đông nếu kể từ ngày A chính thức là cổ đông thành viên ,A không có đóng góp hiệu quả cũng như kêu gọi đầu tư về dự án

* Công ty Bình Minh có quyền yêu cầu A rời khỏi vị trí cổ đông nếu kể từ ngày A vào công ty ,không mang lại hiệu quả cho công ty so với các cổ đông còn lại

* Công ty Bình Minh chịu trách nhiệm hoàn lại số tiền A góp vốn vào công ty ,trước khi Công ty Bình Minh bãi nhiệm A ra khỏi vị trí cổ đông.

Về phía B

- Ngay sau khi ký hợp đồng, cung cấp đầy đủ cho Bên A các loại hồ sơ, tài liệu như (bản photo có sao y): Giấy chứng minh nhân dân các thành viên góp vốn.
- Chịu trách nhiệm hoàn toàn về tính pháp lý của các loại hồ sơ trước phòng công chứng
- hoàn thành Giấy Chứng nhận Đăng ký Doanh nghiệp lần thứ 11 với tên danh sách thành viên góp vốn mới của bên A sau khi A hoàn thành giao dịch đặt cọc đợt 1 và đợt 2 là nghĩa là bắt đầu hoàn thành thủ tục cho bên A sau khi nhận được tiền góp vốn đủ 4.950.000.000 ( bốn tỷ chín năm mươi triệu đồng chẵn)
- Chịu trách nhiệm kiểm tra, lưu giữ, bảo quản và ký đầy đủ vào các loại báo cáo, hồ sơ, chứng từ in ra và cung cấp gởi cho Bên A
- Thực hiện đầy đủ các nghĩa vụ đối với Nhà nước theo quy định.


Trách nhiệm của Bên A

- Trong quá trình thực hiện hợp đồng giao dịch,Nếu bên A trễ theo thời hạn hợp đồng thủ tục góp vốn không đúng thời hạn trong hợp đồng ,Bên B có quyền khởi kiện để yêu cầu toà án có thẩm quyền giải quyết theo quy định của pháp luật.

- Thực hiện đúng quyền và nghĩa vụ trong hợp đồng thoả thuận sử dụng đất của bên B

ĐIỀU 5: ĐIỀU KHOẢN CHUNG.
- Nếu trong quá trình thực hiện hợp đồng nếu có phát sinh thì hai bên cùng thỏa thuận và tiến hành làm thêm phụ lục hợp đồng.
- Hai bên cam kết thực hiện nghiêm chỉnh các điều khoản ghi trong hợp đồng.
-Trong trường hợp nếu không giải quyết được bất đồng thì sẽ đưa ra Tòa án theo thẩm quyền.
