(Dịch vụ: tư vấn và soạn thảo văn bản giải trình nhằm hiệu đính tiến độ góp vốn đầu tư của nhà đầu tư nước ngoài)

Chúng tôi xin chân thành cảm ơn Quý khách hàng đã quan tâm đến dịch vụ tư vấn đầu tư của Công ty TNHH Tư Vấn Sài Gòn 24H.
I. CĂN CỨ ĐỀ XUẤT DỊCH VỤ
1. Giấy chứng nhận đăng ký đầu tư mã số: 8732831618 do Sở Kế Hoạch Và Đầu Tư Tp. Hồ Chí Minh chứng nhận lần đầu ngày 25/8/2016 cấp cho Dự án: Công ty TNHH Hyorim Vina thể hiện tiến độ góp vốn: “hoàn tất góp vốn trong vòng 10 ngày kể từ ngày được cấp giấy chứng nhận đăng ký đầu tư”;
2. Giấy chứng nhận đăng ký doanh nghiệp Công ty trách nhiệm hữu hạn một thành viên số: 0314008169 do Phòng Đăng Ký Kinh Doanh Sở Kế Hoạch Và Đầu Tư Tp. Hồ Chí Minh cấp đăng ký lần đầu ngày 13/9/2016;
3. Thông báo về việc sử dụng mẫu dấu số 001/TB-2016 ngày 22/9/2016 được Phòng Đăng Ký Kinh Doanh - Sở Kế Hoạch Và Đầu Tư Tp. Hồ Chí Minh tiếp nhận ngày 22/9/2016 và công bố trên Cổng Thông Tin Đăng Ký Doanh Nghiệp Quốc Gia ngày 23/09/2016;
4. Công ty TNHH Hyorim Vina có nhu cầu hiệu đính tiến độ góp vốn đầu tư trên Giấy chứng nhận đăng ký đầu tư thành 90 ngày kể từ ngày cấp Giấy chứng nhận đăng ký đầu tư.
5. Công ty TNHH Hyorim Vina đề nghị Công ty chúng tôi tư vấn và soạn thảo các thủ tục pháp lý liên quan đến việc hiệu đính tiến độ góp vốn, thay mặt Công ty liên hệ với Sở Kế Hoạch Và Đầu Tư Tp. Hồ Chí Minh nộp và nhận kết quả.
Vui lòng điều chỉnh nếu chúng tôi có bất kỳ sự hiểu lầm nào về các thông tin nêu trên.
Trên cơ sở các tài liệu và thông tin do Quý Công ty cung cấp, chúng tôi trân trọng gửi đến Công ty TNHH Hyorim Vina Đề Xuất Dịch Vụ của chúng tôi như được đề cập dưới đây:
II. ĐỀ XUẤT DỊCH VỤ
1. Phạm vi công việc
- Tư vấn các vấn đề pháp lý liên quan đến thời hạn góp vốn đầu tư vào dự án đầu tư của nhà đầu tư nước ngoài;
- Soạn thảo văn bản giải trình gửi đến Sở Kế Hoạch Đầu Tư Tp. Hồ Chí Minh đề nghị hiệu đính tiến độ góp vốn đầu tư trên Giấy chứng nhận đăng ký đầu tư;
- Nộp văn bản giải trình và các tài liệu liên quan và nhận kết quả giải quyết tại Phòng Đăng Ký Đầu Tư – Sở Kế Hoạch Đầu Tư Tp. Hồ Chí Minh.
2. Trách Nhiệm của công ty
- Cung cấp cho chúng tôi các tài liệu sau: Biên nhận nộp hồ sơ đăng ký thành lập doanh nghiệp (nếu có); Tờ khai mở tài khoản ngân hàng tại ngân hàng thương mại nơi Công ty mở tài khoản nhận vốn góp đầu tư/ hoặc xác nhận của Ngân hàng thời điểm mở tài khoản ngân hàng của Công ty; Hồ sơ cấp Giấy chứng nhận đăng ký đầu tư; các tài liệu khác theo yêu cầu của Cơ quan đăng ký đầu tư.
- Thanh toán phí dịch vụ cho chúng tôi theo phương thức được nêu tại mục 3, Bản Đề Xuất Dịch Vụ này.
3. Phí dịch vụ
- Phí dịch vụ liên quan đến phạm vi công việc được nêu tại Mục 1, Bản Đề Xuất Dịch Vụ là 1.000 USD (Một ngàn đô la Mỹ).
- Phương thức thanh toán:
i. 50% phí dịch vụ sẽ được thanh toán ngay sau khi Quý Công ty đồng ý xác nhận Bản Đề Xuất Dịch Vụ này;
ii. 50% phí dịch vụ còn lại sẽ được Quý Công ty thanh toán ngay sau khi nhận được Giấy chứng nhận đăng ký đầu tư được hiệu đính thời hạn góp vốn;
- Phí dịch vụ có thể được thực hiện bằng hình thức tiền mặt hoặc chuyển khoản vào tài khoản ngân hàng do chúng tôi cung cấp. Phí dịch vụ nói nêu trên chưa bao gồm thuế giá trị gia tăng, lệ phí liên quan phải nộp cho cơ quan có thẩm quyền, chi phí dịch thuật theo yêu cầu của các bên liên quan tùy từng thời điểm (nếu có). Các chi phí này sẽ được Công ty thanh toán cho các đơn vị cung cấp dịch vụ theo hóa đơn/biên lai sử dụng thực tế.
- Chúng tôi sẽ chỉ bắt đầu tiến hành dịch vụ đối với Công ty TNHH Hyorim Vina theo các hạng mục công việc được đề cập trong Bản Đề Xuất Dịch Vụ sau khi nhận được xác nhận của Quý Công ty và khoản thanh toán trước các chi phí như đã nêu trên.

5. Hyorim Vina Co., Ltd. Our company recommended counseling and drafting of legal procedures relating to the revised schedule of capital contribution, on behalf of the Company to contact the Department of City Planning and Investment. Ho Chi Minh paid and receive results.

On the basis of the documents and information provided by your company, we respectfully Co. Hyorim sent Vina Proposed our Services as mentioned below:
II. SERVICES PROPOSAL
1. Scope of work
- Advising on legal issues relating to the contribution period invested in investment projects of foreign investors;
- Prepare a written explanation sent to the City Department of Planning and Investment. Ho Chi Minh proposed revised capital contribution schedule on the registration certificates of investment;
- Submit a written explanation and the relevant documents and received settlement results in Registered Investment Division - Department of Planning City Investment. Ho Chi Minh City.
2. Responsibility of Companies
- Give us the following documents: Receipt filing corporate establishment registration (if applicable); The declaration opened a bank account at a commercial bank to open an account where the Company receives investment capital / or certified by the bank when opening a bank account of the Company; Profile registration certificate of investment; other documents as required by the Agency for investment registration.
- Payment of fees for our services in a manner set out in section 3 of this Service proposal.
3. Service Fees
- Service fees related to the scope of work outlined in Section 1, the proposed Services is $ 1,000 (One Thousand US Dollars).
- Payment method:
i. 50% service charge will be paid shortly after the quarter the Company agreed to confirm this version Proposed Services;
ii. 50% service charge will be left by your Company paid immediately after receiving the certificate of registration to be vetted investment capital contribution period;
- Service fee can be made in the form of cash or transfer bank account to the account provided by us. Service charge said above does not include value added tax, related fees payable to the competent authorities, the cost of translation at the request of the parties concerned from time to time (if any). These costs will be paid by the Company for service providers by invoice / receipt practical use.
- We will only start the service for Hyorim Vina Co., Ltd. under the grades work items mentioned in Ban Proposed Service after receiving confirmation of your company and prepayment costs as described above.
