Điều 20. Sự kiện bất khả kháng và miễn trừ trách nhiệm trong trường hợp bất khả kháng
20.1. Bất khả kháng có thể bao gồm nhưng không giới hạn, những sự kiện hay trường hợp bất thường thuộc loại được liệt kê dưới đây:
a. Chiến tranh, phá hoại, khủng bố, xâm hại có tính tội phạm hay đe dọa của những hành động đó;
b. Sét, động đất, núi lửa, bị đóng băng, khí xoáy, bão tố, lốc, hỏa hoạn, sóng thần, lụt lội và những điều kiện khí hậu hay môi trường khắc nghiệt một cách bất binh thường, ô nhiễm hóa chất, ô nhiễm phong xạ, bức xạ ion, bệnh dịch, hoặc trường hợp thiên tai khác;
c. Phát sinh các điều luật, chỉ thị, hoặc văn bản pháp quy nào mới ảnh hưởng đến việc sản xuất nước sạch và/hoặc việc nhập các hóa chất dự trữ và/hoặc nhập các thiết bị phụ tùng thay thế có liên quan đến công nghệ xử lý nước sạch của PNW mà việc phát sinh này chưa được hai bên thống nhất xử lý theo hướng đảm bảo hiệu quả tài chính cho PNW như trong phương án tài chính đã được thống nhất
d. Xảy ra các tai nạn và/hoặc sự có đối với các thiết bị cho việc xây dựng và vận hành nhà máy nước Phú Ninh mà PNW mua từ nước ngoài trên đường chuyên chở về phạm vi xây dựng của dự án;
e. Nguồn điện do Công ty điện lực cung cấp cho PNW bị ngừng hoặc cung cấp không đảm bảo cho haotj động sản xuất tại bất kỳ hạng mục nào của dự án;
f. Bất cứ sự ngưng vận hành hay hỏng hóc nào trong hệ thống phân phối và/hoặc mạng lưới phân phối của khách hàng không đủ điều kiện để tiếp nhận khối lượng nước sạch do PNW cung cấp;
g. Nước thô không đủ, nước thô không phù hợp hoặc nước thô bị nhiễm bẩn mà nguyên nhân không phải là một hành động hay sự bỏ sót nào của các cơ quan chức năng, dẫn đến việc PNW không thể xử lý đwược nước thô đó để sản xuất nước sạch theo tiêu chuẩn nước sạch hoặc đạt được công suất tối đa;
h. Sự gián đoạn hoạt động của nhà máy nước Phú Ninh hay hệ thống chuyền tải nước sạch trong thời gian phòng thí nghiệm kiểm tra độc lập thực hiện các công việc theo yêu cầu của các bên khách hàng;
i. Bất cứ sự kiện hay hoàn cảnh có bản chất tương tự như một trong những điều kiện đã nêu ở trên.

20.2 Trong các trường hợp xảy ra sự kiện bất khả kháng, không bên nào phải chịu trách nhiệm về việc không hoàn thành các nghĩa vụ hợp đồng.
20.3 Thông báo về sự kiến bất khả kháng và nghĩa vụ của các bên trong việc khắcs phục sự kiến bất khả kháng:

Trong trường hợp xảy ra sự kiện bất khả kháng làm cản trợ hoặc trì hoãn việc một bên thực hiện các nghĩa vụ của mình theo hợp đồng này, bên đó sẽ:
a. Thông báo ngay cho bên kia bằng văn bản về sự kiện bất khả kháng đó;
b. Không được quyền ngừng thực hiện theo hợp đồng này trong phạm vi lớn hơn hoặc trong thời gian dài hơn so với ảnh hưởng của sự kiện bất khả kháng đó.
c. Áp dụng mọi nỗ lực cần thiết để tiếp tục thực hiện nghĩa vụ theo hợp đồng này ngay khi có thể.
20.4. Các quyền liên quan đến ự kiện bất khả kháng
Khi xảy ra một sự kiện bất khả kháng, các quy định sau đay sẽ được áp dụng:
a. Các bên sẽ thỏa luận nhằm đi đến nhất trí về cách giải quyết sự việc theo các điều kiện và điều khoản quy định trong hợp đồng này. Nếu trong vòng 60 ngày kể từ khi một bên gửi thông báo đề nghị thảo luận cho Bên kia, nhưng bên gửi thông báo vẫn không nhận được ý kiến phản hồi hoặc không thể đạt được sự nhất trí thì sẽ áp dụng điểm b khoản này;
b. Bên chịu ảnh hưởng bất lợi của sự kiện bất khả kháng có thể chấms dứt hợp đồng bằng cách thông báo bằng văn bản cho bên kia. Khi thông báo về việc chấm dứt hợp đồng có hiệu lực thì quyền và nghĩa vụ của các bên sẽ thực hiện theo quy định của pháp luật và hợp đồng này.
20.5. Thanh toán khi xảy ra sự kiện bất khả kháng:
a. Bất khả kháng tự nhiên do cơ quan, tổ chức, doanh nghiệp bảo hiểm bồi thường, chi trả cho PNW theo hợp đồng bảo hiểm mà PNW ký kết với cơ quan bảo hiểm.
b. Các trường hợp khác (nếu có) theo quy định của hợp đồng hoặc theo thỏa thuận đạt được.
