Hai bên đã thỏa thuận, đồng ý ký kết hợp đồng với các điều khoản sau:

ĐIỀU 1: NỘI DUNG CÔNG VIỆC.
Bên B lập “Báo cáo giám sát môi trường định kỳ Kỳ 1/2015” cho Bên A.
ĐIỀU 2: TIẾN ĐỘ THỰC HIỆN.
- Thời gian bắt đầu: Ngay sau khi ký hợp đồng.
- Thời gian thực hiện Hợp đồng: Dự kiến trong vòng 20 ngày làm việc, kể từ ngày Bên A cung cấp đủ các tài liệu liên quan đến việc thực hiện công việc nêu tại Điều 1 và thanh toán đợt 1 cho Bên B.
ĐIỀU 3: GIÁ TRỊ HỢP ĐỒNG VÀ PHƯƠNG THỨC THANH TOÁN.
1. Giá trị hợp đồng:
- Giá trị: 25.392.000 VNĐ/năm
- VAT 10%: 2.539.200 VNĐ
- Tổng giá trị hợp đồng: 27.931.200 VNĐ (Hai mươi bảy triệu chín trăm ba mươi mốt nghìn hai trăm đồng chẵn).
2. Phương thức thanh toán: Bên A thanh toán bằng tiền mặt hoặc chuyển khoản cho Bên B, thanh toán cụ thể như sau:
Kỳ 1/2015:
Bên A thanh toán cho bên B tương ứng số tiền 13.965.600 VNĐ (Mười ba triệu chín trăm sáu mươi lăm nghìn sáu trăm đồng), trong vòng 03 ngày ngay sau khi ký hợp đồng.
Kỳ 2/2015:
Bên A thanh toán cho bên B tương ứng số tiền 13.965.600 VNĐ (Mười ba triệu chín trăm sáu mươi lăm nghìn sáu trăm đồng), trong vòng 03 ngày sau khi Bên B giao Báo cáo giám sát môi trường định kỳ kỳ 1/2015 đã được cơ quan nhà nước phê duyệt cho Bên A.
ĐIỀU 4: TRÁCH NHIỆM VÀ QUYỀN HẠN CỦA CÁC BÊN.
1. Trách nhiệm của Bên B:
- Khảo sát nhà máy, thu thập số liệu để đưa ra các đánh giá hiện trạng môi trường của nhà máy.
- Lấy mẫu phân tích: mẫu khí xung quanh nhà máy (08 mẫu/2 kỳ), mẫu nước thải (04 mẫu/ 2 kỳ), mẫu nước sông Thị Vải (04 mẫu/2 kỳ).
- Tổng hợp số liệu viết báo cáo.
- Nộp báo cáo lên Cơ quan quản lý nhà nước có thẩm quyền phê duyệt.
- Hoàn thành báo cáo giám sát môi trường định kỳ cho Bên A đúng với tiến độ và nội dung mà hai bên đã thống nhất.
- Phối hợp với Bên A trong quá trình viết Báo cáo để đạt được yêu cầu mong muốn.
- Phối hợp với Bên A nếu có Cơ quan quản lý nhà nước xuống kiểm tra.
2. Trách nhiệm của Bên A:
- Bảo đảm cung cấp kịp thời và đầy đủ cho Bên B toàn bộ hồ sơ, tài liệu cần thiết có liên quan.
- Phối hợp và tạo điều kiện thuận lợi cho Bên B trong quá trình làm hồ sơ .
- Trao đổi, bàn bạc với Bên B, giải quyết các vướng mắc trong quá trình làm hồ sơ nhằm đảm bảo tiến độ và chất lượng công việc mà hai bên đã thống nhất.
- Thanh toán đầy đủ phí dịch vụ cho Bên B, theo Điều 3 của hợp đồng đã cam kết.
- Nếu bên A không thanh toán đầy đủ theo từng đợt cho bên B thì bên A sẽ bị phạt 0.5%/ngày theo số tiền của từng đợt như ở mục 2 Điều 3.
3. Trách nhiệm chung của hai bên:
Hai bên cam kết thực hiện nghiêm túc các điều khoản đã thỏa thuận trên, không được đơn phương thay đổi hoặc hủy bỏ hợp đồng, bên nào không thực hiện hoặc đơn phương đình chỉ thực hiện hợp đồng mà không có lý do chính đáng thì sẽ bị phạt 10% giá trị hợp đồng tại thời điểm vi phạm.
ĐIỀU 5: BẢO MẬT.
1. Bên B phải lưu giữ chặt chẽ, cẩn mật bất cứ thông tin kỹ thuật và tài liệu nào do Bên A đã cung cấp, cũng như các tài liệu, thông tin có liên quan khác do Bên B thực hiện theo Hợp đồng tuân theo các quy chế bảo mật của Nhà nước Việt Nam.
2. Bên B phải có sự cho phép bằng văn bản của Bên A trước khi công bố, phát hành công khai các thông báo có liên quan đến Hợp đồng này.
ĐIỀU 6: TRANH CHẤP VÀ GIẢI QUYẾT TRANH CHẤP.
1. Mọi tranh chấp, mâu thuẫn có thể phát sinh giữa hai bên trong quá trình thực hiện Hợp đồng sẽ được ưu tiên giải quyết bằng thương lượng hòa giải trên cơ sở hiểu biết lẫn nhau và cùng có lợi.
2. Trường hợp các tranh chấp Hợp đồng (nếu có) không thể giải quyết được thỏa đáng bằng thương lượng, thì sự việc tranh chấp sẽ được đưa ra xét xử tại Tòa Kinh tế.
3. Luật áp dụng: Luật pháp Việt Nam.
4. Các chi phí về kiểm tra, xác minh và lệ phí tòa án do bên có lỗi chịu trách nhiệm thanh toán.
5. Trong quá trình làm việc một bên muốn chấm dứt hợp đồng phải báo cho bên kia biết trước ít nhất 01 tháng bằng văn bản. Văn bản phải có chữ ký của Người đại diện theo pháp luật hoặc người được ủy quyền kèm theo giấy ủy quyền của người đại diện theo pháp luật.
6. Hợp đồng này có hiệu lực kể từ ngày ký. Sau khi hoàn thành hồ sơ và thanh toán xong, trong vòng 02 ngày nếu hai bên không có gì vướng mắc về công việc và thanh toán, thì Hợp đồng xem như tự thanh lý.
ĐIỀU 7: CAM KẾT CHUNG.
Hai bên cam kết thực hiện đúng các điều khoản thỏa thuận. Trong quá trình thực hiện, hai bên có thể thỏa thuận bổ sung, sửa đổi các điều khoản của hợp đồng cho phù hợp với thực tiễn và bảo đảm hiệu quả công việc trên tinh thần hợp tác, cùng chia sẻ lợi ích và trách nhiệm.
Hợp đồng được lập thành 02 bản tiếng Việt có giá trị pháp lý ngang nhau. Bên A giữ 01 bản, Bên B giữ 01 bản.
