Hai Bên cùng thống nhất ký Hợp đồng này với các điều khoản và điều kiện dưới đây.

Điều 1. Các định nghĩa và diễn giải
Trong Hợp đồng này các từ và cụm từ được hiểu như sau:
1.1. “Chủ đầu tư” là CÔNG TY TNHH TRUNG TÂM THƯƠNG MẠI LOTTE VIỆT NAM CHI NHÁNH GÒ VẤP.
1.2. “Nhà thầu” là CÔNG TY TNHH TM XNK HOÀNG GIA PHÁT
1.3. “Đại diện Chủ đầu tư” là người được Chủ đầu tư nêu ra trong Hợp đồng hoặc được uỷ quyền theo từng thời gian và điều hành công việc thay mặt cho Chủ đầu tư.
1.4. “Đại diện Nhà thầu” là người được Nhà thầu nêu ra trong Hợp đồng hoặc được Nhà thầu uỷ quyền bằng văn bản và điều hành công việc thay mặt Nhà thầu.
1.5. “Nhà tư vấn” là Cty LOTTE E&C (LOTTE CM) do Chủ đầu tư ký Hợp đồng thuê để thực hiện công việc chuyên môn liên quan đến việc quản lý thi công dự án và thực hiện Hợp đồng.
1.6. “Đại diện Nhà tư vấn” là người được Nhà tư vấn uỷ quyền làm đại diện để thực hiện các nhiệm vụ do Nhà tư vấn giao.
1.7. “Nhà thầu phụ” là nhà thầu ký hợp đồng với Nhà thầu để thi công một phần công việc của Nhà thầu.
1.8. “Dự án” là DỰ ÁN TRUNG TÂM THƯƠNG MẠI TỔNG HỢP LOTTE GÒ VẤP tại địa chỉ số 18, đường Phan Văn Trị, P.10, Q.Gò Vấp. Tp.HCM.
1.9. “Hợp đồng” là toàn bộ hồ sơ Hợp đồng, theo quy định tại Điều 2 [Hồ sơ Hợp đồng và thứ tự ưu tiên].
1.10. “Hồ sơ Dự thầu” của Nhà thầu là toàn bộ tài liệu do Nhà thầu lập và gửi cho Chủ đầu tư để cung cấp, thi công, hoàn thành và bảo hành công trình theo các Điều khoản của Hợp đồng, như đã được chấp thuận trong Thông báo Chấp thuận trúng thầu.
1.11. “Chỉ dẫn kỹ thuật” (thuyết minh kỹ thuật) là các chỉ tiêu, tiêu chuẩn kỹ thuật được quy định cho công trình và bất kỳ sửa đổi hoặc bổ sung cho các chỉ tiêu, tiêu chuẩn kỹ thuật đó.
1.12. “Bản vẽ thiết kế” là tất cả các bản vẽ, bảng tính toán và thông tin kỹ thuật tương tự của công trình do Chủ đầu tư cấp cho Nhà thầu hoặc do Nhà thầu lập đã được Chủ đầu tư chấp thuận.
1.13. “Bảng tiên lượng” là bảng kê chi tiết khối lượng và giá các công việc trong Hợp đồng.
1.14. “Bên” là Chủ đầu tư hoặc Nhà thầu tùy theo ngữ cảnh (yêu cầu) diễn đạt.
1.15. “Ngày khởi công” là ngày được thông báo theo khoản 7.1 [Ngày khởi công, thời gian thực hiện Hợp đồng].
1.16. “Biên bản nghiệm thu” là biên bản được phát hành theo Điều 6 [Yêu cầu về chất lượng sản phẩm và nghiệm thu, bàn giao].
1.17. “Ngày” được hiểu là ngày dương lịch và tháng được hiểu là tháng dương lịch.
1.18. “Ngày làm việc” là ngày dương lịch, trừ ngày chủ nhật, ngày nghỉ lễ, tết theo quy định của pháp luật.
1.19. “Thiết bị của Nhà thầu” là toàn bộ thiết bị máy móc, phương tiện, xe cộ và các phương tiện, thiết bị khác yêu cầu phải có để Nhà thầu thi công, hoàn thành công trình và sửa chữa bất cứ sai sót nào (nếu có).
1.20. “Công trình” là toàn bộ nội dung và khối lượng công việc mà Nhà thầu thi công liên quan đến Dự án theo Hợp đồng như được quy định trong Điều 5.
1.21. “Rủi ro và bất khả kháng” được định nghĩa tại Điều 18 [Rủi ro và bất khả kháng]
1.22. “Luật” là toàn bộ hệ thống luật pháp của nước Cộng hoà Xã hội Chủ nghĩa Việt Nam.
1.23. “Công trường” là địa điểm Dự án mà Chủ đầu tư giao cho Nhà thầu để thi công công trình.
1.24. “Thay đổi” là sự thay đổi (điều chỉnh) phạm vi công việc, chỉ dẫn kỹ thuật, bản vẽ thiết kế, giá Hợp đồng hoặc tiến độ thi công khi có sự chấp thuận bằng văn bản của Chủ đầu tư.

Điều 2. Hồ sơ Hợp đồng và thứ tự ưu tiên
2.1. Hồ sơ Hợp đồng
Hồ sơ Hợp đồng bao gồm các căn cứ ký kết Hợp đồng, các điều khoản và điều kiện của Hợp đồng này và các tài liệu sau:
(a) Thông báo chấp thuận trúng thầu;
(b) Các chỉ dẫn kỹ thuật, các bản vẽ thiết kế;
(c) Bảng khối lượng chi tiết ;
(d) Biên bản đàm phán Hợp đồng, các sửa đổi, bổ sung bằng văn bản;
(e) Các Phụ lục Hợp đồng khác nếu có;
(f) Các tài liệu khác có liên quan.

2.2. Thứ tự ưu tiên của các tài liệu
Những tài liệu cấu thành nên Hợp đồng là quan hệ thống nhất giải thích tương hỗ cho nhau, nhưng nếu có điểm nào không rõ ràng hoặc không thống nhất thì các bên có trách nhiệm trao đổi và thống nhất. Trường hợp, các bên không thống nhất được thì thứ tự ưu tiên các tài liệu cấu thành Hợp đồng để xử lý vấn đề không thống nhất được quy định như nêu ở trên.

Điều 3. Luật và ngôn ngữ sử dụng
3.1. Hợp đồng chịu sự điều chỉnh của hệ thống pháp luật của nước Cộng hòa Xã hội Chủ nghĩa Việt Nam.
3.2. Ngôn ngữ của Hợp đồng là tiếng Việt và tiếng Anh. Tiếng Việt được ưu tiên sử dụng trong quá trình giao dịch Hợp đồng và giải quyết tranh chấp.

Điều 4. Bảo đảm thực hiện Hợp đồng
4.1. Nhà thầu phải nộp Chứng thư bảo lãnh tiền tạm ứng: Bằng chi phí của Nhà thầu, Nhà Thầu có trách nhiệm mở Bảo lãnh Tạm Ứng do một ngân hàng uy tín tại Việt Nam phát hành, Bảo Lãnh này có giá trị bằng số tiền tạm ứng và không hủy ngang, có hiệu lực trong 02 tháng được tính từ ngày phát hành. Trong trường hợp Nhà thầu vi phạm do việc không thực hiện nghĩa vụ Hợp Đồng của Nhà thầu, sau khi đã được Chủ đầu tư yêu cầu khắc phục nhưng Nhà thầu vẫn không thực hiện thì Chủ đầu tư có quyền gửi văn bản (kèm theo chứng cứ Nhà Thầu không thực hiện) yêu cầu ngân hàng nơi phát hành Bảo Lãnh Tạm ứng hoàn trả lại tiền cho Chủ đầu tư;

4.2. Đồng thời, Nhà thầu sẽ trình Chứng thư bảo lãnh thực hiện hợp đồng: bằng chi phí của mình, Nhà Thầu có trách nhiệm mở Bảo Lãnh Thực Hiện Hợp Đồng do một ngân hàng uy tín tại Việt Nam phát hành, Bảo Lãnh này có giá trị bằng 5% giá trị Hợp đồng và không hủy ngang, có hiệu lực trong suốt thời hạn hoàn thành Công việc Hợp đồng theo Điều 7.1 của Hợp đồng, được tính từ ngày phát hành. Trong trường hợp Nhà thầu vi phạm do việc không thực hiện nghĩa vụ Hợp Đồng của Nhà thầu, sau khi đã được Chủ đầu tư yêu cầu khắc phục nhưng Nhà thầu vẫn không thực hiện thì Chủ đầu tư có quyền gửi văn bản (kèm theo chứng cứ Nhà Thầu không thực hiện) yêu cầu ngân hàng nơi phát hành Bảo Lãnh Thực Hiện Hợp Đồng thanh toán thay cho Nhà thầu đối với việc vi phạm nghĩa vụ Hợp Đồng.;.
Nhà thầu sẽ không được nhận lại bảo lãnh thực hiện Hợp đồng trong trường hợp từ chối thực hiện Hợp đồng đã có hiệu lực. Chủ đầu tư phải hoàn trả cho Nhà thầu bảo lãnh thực hiện Hợp đồng khi các bên ký nghiệm thu, bàn giao công trình đưa vào sử dụng và chuyển sang nghĩa vụ bảo hành.
4.3. Sau khi hai bên ký biên bản nghiệm thu, bàn giao đưa công trình vào sử dụng, Nhà Thầu sẽ nộp một Chứng thư bảo lãnh Bảo hành có giá trị 5% giá trị quyết toán hợp đồng sau thuế và có hiệu lực 24 tháng kể từ ngày ký biên bản bàn giao công trình. Trong trường hợp Nhà thầu không cung cấp cho Chủ đầu tư Chứng thư bảo lãnh Bảo hành, thì Chủ đầu tư sẽ giữ lại 5% giá trị quyết toán hợp đồng sau thuế như là tiền bảo hành.
4.4. Chứng thư bảo lãnh phải được ban hành bởi một trong các ngân hàng sau: Vietcombank, Vietinbank, BIDV, HSBC, ANZ, Sacombank, Techcombank, Eximbank, Shinhanbank, Wooribank, Seoul Guarantee Insurance Company, VP Bank

Điều 5. Nội dung và khối lượng công việc
Nhà thầu thực hiện việc cung cấp và thi công lắp đặt máy phát điện cho công trình của DỰ ÁN theo bản vẽ thiết kế (kể cả phần sửa đổi được Chủ đầu tư chấp thuận), các chỉ dẫn kỹ thuật, đảm bảo chất lượng, tiến độ, giá cả, an toàn và các thoả thuận khác trong Hợp đồng.
(Sau đây có thể được gọi chung là “Sản Phẩm Hợp Đồng” và/hoặc “Công Trình”)
Hồ sơ kỹ thuật chi tiết được mô tả trong hồ sơ Hướng dẫn đấu thầu và được đính kèm với hợp đồng này.

Điều 6. Yêu cầu về chất lượng sản phẩm và nghiệm thu, bàn giao

"Business Day" means calendar day, except on Sundays, holidays and festivals as prescribed by law. 1:19. "Contractor's Equipment" means all equipment, machinery, vehicles, cars and vehicles, other equipment required to contractors, completion of works and fix any errors (if available). 1:20. Article 2 . Profile Contract and prioritization 2.1. Contract Profile Profile contracts, including the grounds to sign a contract, the terms and conditions of this Agreement and the following documents: (a) Notice winning approval; (b) The instructions technical, design drawings; (c) detailed Bill of Quantities; (d) Minutes of the contract negotiations, the amended and supplemented in writing; (e) The other contract appendix if any; (f) other relevant documents. 2.2. The priority order of the document The document constitutes a contract is the best system for each other a mutual explanation, but if anything is unclear or inconsistent, the parties shall discuss and Best. Article 3 of Law and language use 3.1. The contract shall be governed by the legal system of the Republic of Vietnam Socialist. 3.2. The language of the contract is Vietnamese and English. The Contractor shall submit the Guarantee Deed advance: With the cost of the Contractor, the Contractor is responsible for opening the advance guarantee from a reputable bank in Vietnam to issue, this valuable Surety equal amount advance and irrevocably, valid for 02 months from date of issuance. At the same time, the contractor will guarantee the certificate of contract performance: his own expense, the Contractor is responsible for opening Contract performance guarantee by a reputable bank in Vietnam to issue, Surety may value equal to 5% of the contract and an irrevocable, effective during the term of completion of work in accordance with Article 7.1 of the contract, calculated from the date of issuance. In the event of a breach by the Contractor does not fulfill the obligations of the Contractor Agreement, after the investor requested remedy but contractors have not done, the investor has the right to send documents (attached Contractors evidence did not) require banks where issuing Surety Contract Compliance payment instead of the contractor for breach of contractual obligations.;. Once both parties sign acceptance minutes, and put the work into use, the Contractor shall submit a Warranty Deed guarantee worth 5% of the contract value after the tax settlement and force 24 months signing works delivery records. In case the contractor does not give the investor the Guarantee Deed Warranty, the Owner will retain 5% of the contract value after tax settlement as guarantee money. 4.4. Guarantee certificate must be issued by one of the following banks: Vietcombank, Vietinbank, BIDV, HSBC, ANZ, Sacombank, Techcombank, Eximbank, Shinhanbank, Wooribank, Seoul Guarantee Insurance Company, VP Bank Article 5 Content and block the amount of work the contractor shall provide and construct and install a generator to work PROJECT design drawings (including the amendments approved by the investor), technical instructions, make quality, schedule, cost, safety and other agreements in the contract. Article 6 Requirements for product quality and acceptance and handover 6.1. Requirements for quality of contracts (a) Con
