Hai bên thoả thuận ký kết hợp đồng thuê kho xưởng
với những điều khoản như sau:
Điều I: Nội dung
1.1 Bên A đồng ý cho bên B thuê kho, xưởng tại địa chỉ số 18/60 đường Tăng Nhơn Phú, Phường Tăng Nhơn Phú A, quận 9, TP.HCM để bên B sử dụng vào mục đích sản xuất và kinh doanh theo giấy phép đã đăng ký.
1.2 Diện tích thuê : Rộng 20m x dài 50m, tổng diện tích là 1000 m2
1.3 Thời gian thuê : 06 năm (Từ 25/01/2016 đến 25/01/2022).
Điều II: Đơn giá thuê và hình thức thanh toán:
2.1 Đơn giá thuê : 45,000đ / 01 m2/ tháng chưa bao gồm 10% VAT.
2.2 Số tiền bên B đặt cọc : 135.000.000 đ (03 tháng tiền cọc).
2.3 Tiền thuê hàng tháng : 45.000.000đ chưa bao gồm 10% VAT.
2.4 Hình thức thanh toán: Tiền mặt hoặc chuyển khoản. Thanh toán tiền thuê kho 1 lần/ tháng, trong vòng 05 ngày kể từ ngày 01 hàng tháng.
2.5 Tỷ lệ trượt giá mỗi năm là 5% (mỗi năm tăng 5%)
Điều III: Thời hạn thuê và thời gian bàn giao kho
- Thời hạn thuê là 06 năm kể từ ngày 25/01/2016
- Thời gian bàn giao kho: 25/04/2016 (trong 03 tháng kể từ ngày ký hợp đồng và nhận cọc)
Điều IV: Đặc điểm kho
- Tường cao 7m (gồm 1,2m tường gạch bên dưới, bên trên tôn thường xen kẽ tôn lấy sáng)
- Mái cao 8,5m, có vòm lấy gió.
- Cửa chính kho rộng 5m x cao 4,5m, đảm bảo xe container ra vào được.
- Nền kho xi măng, xe nâng hoạt động bình thường.
- Toilet 01 cái, Lavabo rửa tay 2 cái.
- Đường chính rộng 12m, rãi đá mi.
- Cung cấp tủ điện 3 pha đến đầu xưởng.
Điều V: Trách nhiệm của các bên:
5.1 Trách nhiệm của bên A:
- Nhận tiền đặt cọc và tiền thuê kho xưởng, tiền điện sử dụng hàng tháng của bên B.
- Có trách nhiệm bàn giao kho, xưởng cho bên B đúng theo thoả thuận.
- Hướng dẫn bên B thực hiện đúng các quy định tại khu vực thuê kho, xưởng và các quy định khác liên quan đến an toàn tại khu vực quân đội.
- Yêu cầu bên B thực hiện nghiêm các điều khoản đã thoả thuận theo hợp đồng này.
- Đảm bảo điện sinh hoạt và sản xuất cho bên B (lắp dây điện đến đồng hồ điện bên B)
- Xuất hoá đơn VAT cho bên B hàng tháng (nếu bên B yêu cầu).
- Đảm bảo cho bên B thuê đúng thời hạn 06 năm, nếu bên A muốn lấy lại kho phải báo cho bên B trước 03 tháng.
- Nếu đến thời hạn, bên B không nhận bàn giao kho thì bên A sẽ không hoàn trả tiền cọc. Trường hợp bên B thanh toán phí thuê kho chậm hàng tháng vượt quá thời gian quy định thì bên A có quyền ngưng cung cấp điện, nước và không cho xe của bên B ra vào cổng.



5.2 Trách nhiệm của bên B:
- Có trách nhiệm đặt cọc và thanh toán tiền thuê kho, xưởng và tiền điện sử dụng cho bên A đúng thời hạn.
- Trả tiền thuê kho 01 (một) tháng / lần, đúng hạn từ ngày 01-05 hàng tháng cho bên A.
- Trong thời gian thuê, bên B phải có trách nhiệm bảo quản kho, xưởng cho bên A.
- Sử dụng kho, xưởng phù hợp với hoạt động kinh doanh cũng như có trách nhiệm đảm bảo an ninh trật tự, an toàn, vệ sinh lao động, phòng cháy chữa cháy đảm bảo vệ sinh môi trường, không được xả các chất làm ô nhiễm mội trường. Không làm ảnh hưởng đến các hoạt động của các đơn vị xung quanh. Trường hợp để xảy ra sự cố phải tự chịu trách nhiệm trước pháp luật và bồi thường thiệt hại cho các đơn vị liên đới.
- Bảo đảm an ninh trật tự khu vực kho, xưởng, tránh tình trạng xảy ra gây gổ, đánh nhau, gây rối trật tự khu vực kho xưởng làm ảnh hưởng đến bên A.
- Trong quá trình thuê kho, xưởng, bên B không được sử dụng kho, xưởng của bên A vào mục đích vi phạm pháp luật hoặc chưa được sự đồng ý của bên A.
- Phải chịu hoàn toàn trách nhiệm trước pháp luật trong thời gian thuê kho, xưởng của bên A về hoạt động trên kho, xưởng đã thuê.
- Hỗ trợ chi phí PCCC 500.000đ/tháng.
Điều VI: Chấm Dứt Hợp Đồng Trước Thời Hạn
6.1 Chấm Dứt Hợp Đồng Trong Trường Hợp Bất Khả Kháng
- Sự kiện bất khả kháng là sự kiện xẩy ra mang tính khách quan và nằm ngoài tầm kiểm soát của các bên như động đất, bão, lũ lụt, lốc, sóng thần, lở đất, hoả hoạn, chiến tranh hoặc có nguy cơ xẩy ra chiến tranh,v...v.. và các thảm hoạ khác chưa lường hết được, sự thay đổi chính sách hoặc ngăn cấm của cơ quan có thẩm quyền của Việt Nam, thu hồi đất vào mục đích quốc ph
