10. Thời hạn và chấm dứt

10.1 Hợp Đồng này sẽ có hiệu lực và duy trì hiệu lực trong vòng 01 (một) năm kể từ ngày ký.

10.2 Trừ trường hợp chấm dứt do hết thời hạn, Hợp Đồng này sẽ được chấm dứt trước thời hạn khi xảy ra một trong các sự kiện sau đây:

(a) Các Bên thỏa thuận chấm dứt Hợp Đồng trước thời hạn bằng văn bản; hoặc

(b) Công Ty bị giải thể, thanh lý, phá sản, mất khả năng thanh toán hoặc bị thu hồi giấy phép hoặc giấy chứng nhận dẫn đến việc Công Ty không còn khả năng thực hiện các hoạt động kinh doanh bình thường của mình hoặc thực hiện Hợp Đồng này; hoặc

(c) Chuyên Gia chết hoặc mất năng lực hành vi dân sự; hoặc

(d) Chuyên Gia bị truy cứu trách nhiệm hình sự tại Việt Nam hoặc nước ngoài; hoặc

(e) Nếu một Bên vi phạm nghĩa vụ, tuyên bố và cam kết của mình theo Hợp Đồng này mà không khắc phục trong vòng 30 (ba mươi) ngày kể từ ngày vi phạm, Bên bị vi phạm có quyền đơn phương chấm dứt Hợp Đồng bằng một thông báo chấm dứt có hiệu lực tức thời, trừ trường hợp Các Bên có thỏa thuận khác. Trong trường hợp này, Bên vi phạm Hợp Đồng có nghĩa vụ bồi thường cho Bên còn lại bất kỳ tổn thất hoặc thiệt hại nào phát sinh từ hành vi vi phạm đó.

Term and termination10.1 this agreement will take effect and the annuity within 1 (one) year from the date of signing. 10.2 unless otherwise terminated by expiry, this Contract will be terminated ahead of time when going to one of the following events:(a) the parties agreed to terminate the contract before the deadline in writing; or(b) the company is dissolved, the liquidation, bankruptcy, loss of ability to pay or revoked license or certificate to the company no longer able to perform normal business activities or implement this agreement; or(c) Expert dies or loses capacity for civil acts; or(d) Expert was blind for criminal liability in Vietnam or abroad; or(e) If a party violates obligations, claims and its commitment under this agreement which is not remedied within 30 (thirty) days from the date of the violation, the party violated has the right to unilaterally terminate the contract by using a termination notice effective immediately, except where the parties have agreed otherwise. In this case, on the breach of contract is obliged to compensate the remaining Party for any loss or damage arising from the breach of it.

10. Term and Termination 10.1 This Agreement will be effective and maintain effective within 01 (one) year from the date of signing. 10.2 Unless otherwise terminated due to expiration, this Agreement will be terminated ahead of time upon the occurrence of the following events: (a) the Parties agree to terminate the agreement in writing ahead of time; or (b) the Company dissolution, liquidation, bankruptcy, loss of ability to pay or revoked license or certificate led to the Company no longer able to carry out normal business operations of its implementation or this Agreement; or (c) Expert death or loss of capacity for civil acts; or (d) Professional prosecuted for criminal liability in Vietnam or abroad; or (e) If a party breaches its obligations, claims and their commitments under this Agreement which is not cured within thirty (30) days from the date of violation, aggrieved party has the right to unilaterally terminate the agreement with a notice of termination with immediate effect, unless the Parties agree otherwise. In this case, violated Party Agreement is obliged to compensate the remaining parties any loss or damage arising from such violations.
