Một cái thõa thuận giữa 2 bên nếu có sự ràng buộc giữa 2 bên. Trong đó, các thõa thuận được chia thành 2 loại: domestic, social agreement và commercial agreement
a) Domestic social Agreement
Domestic agreement là những thõa thuận mang tính nội bộ và social agreement là những thõa thuận mang tính xã hội, nó có nghĩa đây là những thõa thuận giữa những người anh, em, cô, chú, bạn bè với nhau. Thông thường đối với domestic và social agreement không có giá trị ràng buộc trong các thõa thuận, bởi đây là những thõa thuận giữa những người thân thiết với nhau, họ luôn rất dễ dãi với nhau trong các thõa thuận, luôn tin tưởng và không hề có sự ràng buộc nào trong thõa thuận. Nhưng bên cạnh đó, vẫn có một vài trường hợp có ràng buộc trong thõa thuận, đó là do các bên mong muốn như vậy.
b) Commercial Agreement
Được định nghĩa là hợp đồng trong các lĩnh vực thương mại. Ngược lại với domestic và social agreement, các thõa thuận trong thương mại thường bị ràng buộc, ví dụ như có 2 công ty ký hợp đồng với nhau và có thời gian giao hàng là một ngày cụ thể, bên công ty có nhiệm vụ giao hàng phải giao hàng đúng như thông tin trong hợp đồng đề ra và không được giao trễ hẹn.
