Pháp luật hợp đồng Việt Nam trải qua các thời kỳ hình thành và phát
triển với các quan điểm và khái niệm khác nhau về hợp đồng. Khái niệm
hợp đồng theo Bộ luật dân sự năm 1995, được quy định tại Điều 395 theo
đó: “Hợp đồng dân sự là sự thoả thuận giữa các bên về việc xác lập, thay
đổi hoặc chấm dứt quyền, nghĩa vụ dân sư”.
