ĐIỀU 9: BẢO MẬT VÀ CHUYỂN NHƯỢNG
9.1. Bảo mật
- Cả hai bên phải giữ bí mật tất cả các tài liệu, số liệu, vật tư và thông tin cho phía bên kia cung cấp và không được tiết lộ các thông tin nói trên cho bất kỳ bên thứ ba nào mà không nhận được sự đồng ý của bên kia
- Cả hai bên sẽ không sử dụng các thông tin liên quan đến hợp đồng này cho bất cứ mục đích nào khác ngoài việc thực hiện hợp đồng này
9.2. Chuyển nhượng
Hai bên liên đới pháp lý thông qua hợp đồng này không được phép chuyển nhượng hoặc cho thầu lại đối với bất kỳ bên thứ ba nào một phần hoặc toàn bộ hợp đồng này dưới bất cứ hình thức nào
ĐIỀU 10: LUẬT ÁP DỤNG VÀ GIẢI QUYẾT TRANH CHẤP
10.1. Hợp đồng được diễn giải và thực hiện theo luật pháp của nước Cộng Hòa Xã Hội Chủ Nghĩa Việt Nam.
10.2. Khi có tranh chấp phát sinh trong quá trình thực hiện Hợp đồng, các bên sẽ cố gắng thương lượng để giải quyết bằng biện pháp hòa giải.
10.3. Trường hợp thương lượng không có kết quả thì trong vòng 15 ngày kể từ ngày phát sinh tranh chấp Hợp đồng không thể hòa giải, các bên sẽ gửi vấn đề lên Trung tâm trọng tài quốc tế Việt Nam lý tranh chấp theo các quy tắc tố tụng trọng tài của trung tâm này. Phán quyết của trọng tài là quyết định cuối cùng và có tính chất bắt buộc với các bên phải thi hành.
10.4. Mọi chi phí liên quan đến việc giải quyết tranh chấp ở trung tâm trọng tài sẽ do bên thua chịu trách nhiệm thanh toán.
ĐIỀU 11: ĐIỀU KHOẢN THI HÀNH
- Hai bên cam kết thực hiện đúng những điều khoản ghi trong Hợp đồng.
- Hợp đồng này cũng như tất cả các tài liệu, thông tin liên quan đến hợp đồng sẽ được hai bên quản lý theo quy định hiện hành của Nhà nước.
- Hợp đồng có thể điều chỉnh hay bổ sung trong quá trình thực hiện hợp đồng nếu có sự thỏa thuận bằng văn bản của hai bên và phải được hai bên chấp thuận. Mọi sửa đổi, bổ sung phải được hai bên thỏa thuận bằng văn bản và được coi là Phụ lục của hợp đồng. Các Phụ lục là một phần đi kèm và không thể tách rời của hợp đồng.
- Hợp đồng có hiệu lực kể từ ngày ký và hết hiệu lực khi có biên bản thanh lý.
- Hợp đồng gồm 24 trang, được lập thành 10 bản tiếng Việt, Bên A giữ 06 bản và Bên B giữ 04 bản có giá trị pháp lý như nhau.

The annex is a part and inseparable accompaniment of contract.-The contract is effective from the date of signing and expire when there is a liquidation.-The contract includes 24 pages, established 10 a Vietnamese, party A Party B and 6 hold hold 4 a legal value as each other.

ARTICLE 10: APPLICABLE LAW AND DISPUTE RESOLUTION
10.1. Contracts are interpreted and implemented in accordance with the laws of the Republic Socialist of Vietnam.
10.2. When a dispute arises during performance of the contract, the parties will try to negotiate to resolve by mediation.
10.3. Where negotiations without results, within 15 days from the date of the contract dispute can not be reconciled, the parties will submit the issue to international arbitration center Vietnam dispute in accordance with the rules of arbitration of this center. The ruling of the arbitration decision is final and binding on the parties to implement.
10.4. All costs related to the settlement of disputes in arbitration centers will by the losing party responsible for payment.
ARTICLE 11: Implementing Provisions
- Both parties are committed to comply with the terms stated in the contract.
- this contract as well as all documents and information relating to this contract will be the two sides managed according to current regulations of the State.
- the contract can be adjusted or supplemented in the course of contract performance if there is a written agreement of the two sides and must be mutually agreed. All amendments and supplements must be mutually agreed upon in writing and are treated as Appendix of the contract. The Annex is part comes and inseparable of the contract.
- The contract takes effect from the date of signing and expires when the minutes of liquidation.
- The contract includes 24 pages, was made ​​in 10 copies Vietnamese, Party A and Party B keeps 06 copies hold 04 copies of the same legal value.
