2.2.3. Quyền và nghĩa vụ của thành viên góp vốn
1. Thành viên góp vốn có các quyền sau đây:
a) Tham gia họp, thảo luận và biểu quyết tại Hội đồng thành viên về việc sửa đổi, bổ sung Điều lệ công ty, sửa đổi, bổ sung các quyền và nghĩa vụ của thành viên góp vốn, về tổ chức lại và giải thể công ty và các nội dung khác của Điều lệ công ty có liên quan trực tiếp đến quyền và nghĩa vụ của họ;
b) Được chia lợi nhuận hằng năm tương ứng với tỷ lệ vốn góp trong vốn điều lệ công ty;
c) Được cung cấp báo cáo tài chính hằng năm của công ty; có quyền yêu cầu Chủ tịch Hội đồng thành viên, thành viên hợp danh cung cấp đầy đủ và trung thực các thông tin về tình hình và kết quả kinh doanh của công ty; xem xét sổ kế toán, sổ biên bản, hợp đồng, giao dịch, hồ sơ và tài liệu khác của công ty;
d) Chuyển nhượng phần vốn góp của mình tại công ty cho người khác;
đ) Nhân danh cá nhân hoặc nhân danh người khác tiến hành kinh doanh các ngành, nghề đã đăng ký của công ty;
e) Định đoạt phần vốn góp của mình bằng cách để thừa kế, tặng cho, thế chấp, cầm cố và các hình thức khác theo quy định của pháp luật và Điều lệ công ty; trường hợp chết hoặc bị Toà tuyên bố là đã chết thì người thừa kế thay thế thành viên đã chết trở thành thành viên góp vốn của công ty;
g) Được chia một phần giá trị tài sản còn lại của công ty tương ứng với tỷ lệ vốn góp trong vốn điều lệ công ty khi công ty giải thể hoặc phá sản;
h) Các quyền khác theo quy định của Luật này và Điều lệ công ty.
2. Thành viên góp vốn có các nghĩa vụ sau đây:
a) Chịu trách nhiệm về các khoản nợ và nghĩa vụ tài sản khác của công ty trong phạm vi số vốn đã cam kết góp;
b) Không được tham gia quản lý công ty, không được tiến hành công việc kinh doanh nhân danh công ty;
c) Tuân thủ Điều lệ, nội quy công ty và quyết định của Hội đồng thành viên;
d) Các nghĩa vụ khác theo quy định của Luật này và Điều lệ công ty.

2.2.3. The rights and obligations of limited partners
1. Capital contributing members have the following rights:
a) attend meetings, to discuss and vote on the Council members about the amendments and additions to the charter company, amendments and supplements to the rights and obligations of the Limited partners, the reorganization and dissolution of the company and other contents of the charter company directly related to their rights and obligations;
b) Receive annual profit corresponding to the proportion of capital contribution in the charter capital of the company;
c) To provide the annual financial statements of the company; may request the chairman of the board members, members of the partnership provide full and truthful information about the situation and business results of the company; review the accounting books, minutes, contracts, transactions, records and other documents of the company;
d) Transfer of its capital share in the company to another;
e) In the name of the person or people of others conducting business lines registered by the company;
e) to dispose of its capital contribution by way of inheritance, donation, mortgage, pledge and other forms prescribed by law and the charter of the company; Court cases died or been declared dead, the heirs replace deceased members become contributing members of the company;
g) To be a part of the remaining assets of the company in proportion to share- holding in the charter capital of the company when the company is dissolved or declared bankrupt;
h) other rights stipulated by this law and the charter of the company.
2. Capital contributing members have the following obligations:
a) To be responsible for the debts and other property obligations of the company within the amount of capital committed contribution;
b) may not participate in company management, not conduct business on behalf of the company;
c) comply with the charter, rules of the company and the decision of the Council members;
d) other obligations stipulated by this law and the charter of the company .
