Trách nhiệm, quyền và nghĩa vụ của bên A
- Cung cấp hàng kịp thời,đúng chủng loại, quy cách, số lượng theo yêu cầu của bên A
- Cung cấp đúng chất lượng như điều 2 của hợp đồng.
- Cung cấp hóa đơn VAT, CQ, CO cho bên B
- Bảo hành sản phẩm theo đúng điều 2 của hợp đồng.
Trách nhiệm, quyền và nghĩa vụ của bên B
- Thanh toán đầy đủ tinh thần hợp đồng.
- Khi nhận hàng bên B có trách nhiệm kiểm tra số lượng, qui cách sản phẩm của hàng hóa. Nếu phát hiện có sai sót do hàng thiếu hoặc không đúng qui cách, chất lượng, Bên B tiến hành lập biên bản tại chỗ và ghi rõ các sai sót và yêu cầu bên A xác nhận hoặc bên B tiến hành trả hàng lại cho bên A số lượng hàng nói trên. Sau khi hàng đã giao và xác nhận đầy đủ, Bên B không chịu trách nhiệm về các khiếu nại liên quan đến số lượng, chủng loại , qui cách.
- Bên B có quyền từ chối nhận hàng khi có đủ cơ sở khẳng định bên A giao hàng không đúng tiêu chuẩn chất lượng ghi tại điều 1 của hợp đồng này và yêu cầu bên A thay thế ngay sản phẩm không đạt chất lượng.
ĐIỀU 6: ĐIỀU KHOẢN CHUNG

- Hai bên cam kết thực hiện đúng theo các điều khoản của hợp đồng này. Nếu có gì thay đổi hai bên phải thông báo cho nhau trước hai ngày để bàn bạc và bổ sung hợp đồng bằng văn bản.
- Trong quá trình thực hiện nếu có gì khó khăn vướng mắc hai bên phải thông báo cho nhau trước 07 ngày bằng văn bản để cùng nhau bàn bạc tìm biện pháp giải quyết trên tinh thần hợp tác đôi bên cùng có lợi. Nếu có vấn đề gì không giải quyết được hoặc vi phạm hợp đồng, sự việc sẽ được đưa ra tòa án nơi bên B đặt trụ sở để giải quyết theo pháp luật Việt Nam. Bên nào vi phạm phải chịu mọi án phí và bồi thường mọi thiệt hại cho bên kia.
- Hợp đồng này được thành lập 02 bản có giá trị pháp lý như nhau. Bên B giữ 01 bản, Bên A giữ 01 bản.
- Hợp đồng kinh tế có hiệu lực kể từ ngày ký và được thanh lý khi hai bên ký nhận đủ hàng và Bên B thanh toán hết nợ cho Bên A.
