14.2 Trong suốt thời hạn, Bên A được đề cử Giám đốc là đại diện theo pháp luật của Công ty. Giám đốc có quyền bổ nhiệm Phó Giám đốc.
14.3 Giám đốc có trách nhiệm thực hiện các quyết định của Hội đồng Thành viên. Giám đốc có quyền hành động thay mặt Công ty và buộc Công ty tuân thủ các nghĩa vụ pháp lý trong phạm vi trách nhiệm và quyền hạn được Hội đồng Thành viên xác định. Giám đốc chịu trách nhiệm trước Hội đồng Thành viên về việc thực hiện các quyết định của Hội đồng Thành viên và tổ chức và quản lý công việc kinh doanh hàng ngày của Công ty.
14.4 Khi Giám đốc vắng mặt, Phó Giám đốc sẽ được uỷ quyền thay mặt Giám đốc quản lý Công ty và chịu trách nhiệm trước Hội đồng Thành viên và trước Giám đốc về việc quản lý này.
