- Căn cứ Bộ luật Dân sự nước Công hòa Xã hội chủ nghĩa Việt Nam số 33/2005/QH-11 đã được Quốc hội khoá XI kỳ họp thứ 7 ban hành ngày 14/6/2005;

Sau khi bàn bạc thỏa thuận, hai bên cùng nhau ký kết hợp đồng cung cấp nội thất và lắp đặt trang thiết bị văn phòng với các điều kiện và điều khoản sau:
Điều 1: NỘI DUNG HỢP ĐỒNG
- Đối tượng hợp đồng: Bên A giao cho Bên B cung cấp nội thất và lắp đặt trang thiết bị văn phòng căn cứ theo các hạng mục của phụ lục đính kèm hợp đồng.
Điều 2: GIÁ TRỊ HỢP ĐỒNG
Tổng giá trị hợp đồng cung cấp nội thất và lắp đặt trang thiết bị công trình là: 103.556.200VNĐ (Bằng chữ: Một trăm lẻ ba triệu năm trăm năm mươi sáu nghìn hai trăm đồng./.)theo bảng phụ lục, chi tiết báo giá đính kèm theo hợp đồng này.
- Giá trên đã bao gồm 10% thuế VAT.
- Chi phí phát sinh trong quá trình thi công công trình phải được sự thống nhất giữa hai bên bằng văn bản và được coi là một phần không thể tách rời của hợp đồng này.


Điều 3: PHƯƠNG THỨC THANH TOÁN
Bên A thanh toán cho Bên B bằng chuyển khoản, chia thành 2 (hai) đợt như sau:
- Đợt 1: Bên A ứng trước cho Bên B 40% giá trị hợp đồng tương đương 41.422.480VNĐ (Bằng chữ:Bốn mươi mốt triệu bốn trăm hai mươi hai nghìn bốn trăm tám mươi đồng./.) trong vòng 03 ngày làm việc sau khi hai bên ký hợp đồng.
- Đợt 2: Sau khi Bên B thực hiện xong toàn bộ công trình, cung cấp đầy đủ chứng từ hóa đơn và được Bên A nghiệm thu đưa vào sử dụng thì Bên A sẽ thanh toán cho Bên B giá trị còn lại của hợp đồng tương đương 62.133.720VNĐ (Bằng chữ: Sáu mươi hai triệu một trăm ba mươi ba nghìn bảy trăm hai mươi đồng./.) trong thời gian 07 (bảy) ngày làm việc.
Điều 4: PHƯƠNG THỨC THỰC HIỆN
4.1. Bên B sẽ giao mẫu cho Bên A khi hợp đồng có hiệu lực. Công trình chỉ được thi công khi hai bên ký xác nhận thống nhất mẫu dựa trên bản vẽ thiết kế.
4.2. Địa điểm thi công: Tòa nhà Anna, Công viên Phần mềm Quang Trung, P. Tân Chánh Hiệp, Quận 12, TP. Hồ Chí Minh.
4.3. Thời gian thi công : 10 ngày kể từ ngày ký hợp đồng (Không tính ngày Nghỉ Lễ).
Điều 5: TRÁCH NHIỆM HAI BÊN
5.1. Trách nhiệm Bên A:
- Giải phóng mặt bằng tạo điều kiện cho Bên B thi công.
- Bên A đề cử người có trách nhiệm giám sát, thi công và kiểm tra quy cách phẩm chất hàng hóa trong suốt quá trình thực hiện công trình. Nếu phát hiện hàng thiếu hoặc không đúng quy cách thì đại diện Bên A phải lập biên bản tại chỗ và yêu cầu đại diện Bên B xác nhận.
- Sau khi công trình thực hiện hoàn tất, nếu không có bất kỳ hiện tượng bất thường nào, Bên A có trách nhiệm cùng Bên B xác nhận nghiệm thu công trình.
- Bên A có trách nhiệm thanh toán cho Bên B theo đúng thời hạn quy định tại Điều 3 của hợp đồng. Nếu Bên A thanh toán cho Bên B trễ thời gian trong hợp đồng thì Bên A sẽ chịu phạt 0,1%/ ngày trên tổng giá trị tiền trả không đúng hạn nhưng không vượt quá 8% tổng giá trị hợp đồng.
5.2. Trách nhiệm Bên B:
- Bên B đề cử người có trách nhiệm giám sát, thi công ký kết các văn bản trong suốt quá trình thực hiện công trình.
- Bên B có nhiệm vụ thông báo cho Bên A chi phí và thời gian cộng thêm cho việc phát sinh.
- Hỗ trợ Bên A việc giải phóng mặt bằng để thi công và che chắn các thiết bị không thể di chuyển được của Bên A.
- Nếu Bên B thi công trễ thời gian hợp đồng cho Bên A, Bên B sẽ chịu phạt 0,1%/ngày trên tổng giá trị các hạng mục thực hiện không đúng hạn nhưng không vượt quá 8% tổng giá trị hợp đồng.
- Cung cấp các vật tư dụng cụ, … cần thiết trong suốt quá trình thi công và chịu hoàn toàn trách nhiệm về an toàn cho nhân lực và tài sản của mình trong thời gian thi công.
- Bên B chịu trách nhiệm vận chuyển, bốc xếp, giao hàng và lắp đặt tại địa điểm đã thỏa thuận trong hợp đồng.
- Bên B chịu trách nhiệm vệ sinh khu vực thi công sau khi hoàn tất công trình.


Điều 6: BẢO HÀNH
- Bên B có trách nhiệm bảo hành miễn phí 12 (mười hai) tháng cho các hạng mục đã thực hiện theo hợp đồng. Thời gian bảo hành tính từ ngày ký Biên bản bàn giao nghiệm thu trang thiết bị.
