Căn cứ Bộ Luật dân sự nước Cộng Hòa Xã Hội Chủ Nghĩa Việt Nam đã được sửa đổi bổ sung năm 2005.
Căn cứ Luật thương mại nước Cộng Hòa Xã Hội Chủ Nghĩa Việt Nam Số: 36/2005/QH11 ban hành ngày 14/6/2005, có hiệu lực thi hành từ ngày 01/01/2006.

Hai bên cùng tiến hành ký kết hợp đồng chuyển nhượng Dự án đầu tư với nội dung cụ thể như sau:
Điều 1: Ngôn ngữ, đồng tiền thanh toán và luật :
a-. Ngôn ngữ: Ngôn ngữ sử dụng trong bản hợp đồng này được sử dụng song ngữ gồm tiếng Anh và tiếng Việt. Bên A căn cứ nội dung bằng tếng Việt và bên B căn cứ nội dung bằng tiếng Anh để thực hiện;
b-. Đồng tiền thanh toán: Đồng tiền thanh toán trong hợp đồng này được sử dụng là Việt nam đồng, viết tắt là VND.
c-. Luật áp dụng: Hợp đồng này được thực hiện theo quy định của luật pháp nước Việt Nam.
Điều 2: Nội dung dự án chuyển nhượng;
Bên A đồng ý chuyển nhượng cho bên B toàn bộ Dự án đầu tư do bên A đang làm chủ đầu tư đến thời điểm ký kết hợp đồng này bao gồm:
- Tên dự án: “ Xây dựng khu nuôi tôm công nghệ cao kết hợp du lịch sinh thái “
- Địa điểm đầu tư: ấp Vĩnh Mới,xã Vĩnh Thịnh, huyện Hoà bình, tỉnh Bạc Liêu
Vị trí giáp ranh:
Bắc giáp: Khu nuôi tôm của Nigrico
Đông giáp: Khu nuôi tôm của Công ty TNHH Phước Đạt
Tây giáp: Kinh thủy lợi số 1
Nam giáp: Đê Biển Bạc Liêu
- Diện tích đầu tư: 172,39 ha
- Nguồn gốc đất: Nhà nước cho thuê sử dụng 40 năm
- Tổng mức đầu tư: 473.000.000.000 VND

+ Thiết bị và phương tiện vận tải: 54.000.000.000 VND
+ KTCB Khác: 26.000.000.000 VND
+ Chi phí hỗ trợ về đất: 35.000.000.000 VND

- Vốn lưu động phục vụ Dự án: 33.000.000.000 VND
- Hiệu quả đầu tư do Dự án mang lại (ước tính):
a-. Doanh thu hàng năm:
- Thu từ sản xuất con giống thủy sản: 76.800.000.000 VND/năm
- Thu từ sản lượng nuôi tôm công nghiệp: 304.100.000.000 VND/năm
- Thu từ dịch vụ du lịch bình quân: 55.000.000.000 VND/năm
b. Lợi nhuận đạt được:
- Tổng mức lợi nhuận hàng năm: 63.500.000.000 VND
- Tỷ suất lợi nhuận trên vốn đầu tư: 17,90 %
- Tỷ suất lợi nhuận trên doanh thu: 19,41 %
c. Thời gian hoàn vốn đầu tư: 05 năm 02 tháng
Điều 3: Hiện trạng của dự án chuyển nhượng:
a/- Các thủ tục pháp lý bên A đã được cấp:
- Giấy chứng nhận đăng ký kinh doanh do Sở Kế hoạch và đầu tư tỉnh Bạc Liêu cấp cho Công ty Trách nhiệm hữu hạn Mai Đăng Khoa (sau đây được việt là C.ty TNHH Mai Đăng Khoa) lần đầu ngày 15/11/2007 và cấp thay đổi lần thứ 12 ngày 13/01/2015;
- Văn bản số 1078/UBND-TH ngày 25/05/2011 về việc chấp thuận chủ trương đầu tư Dự án nuôi tôm công nghệ cao kết hợp du lịch sinh thái của Công ty TNHH MTV Mai Đăng Khoa;
- Giấy Chứng nhận đầu tư số: 60 121 000034 do UBND tỉnh Bạc Liêu cấp lần đầu ngày 22/07/2011, thay đổi lần thứ I ngày 17/07/2012 về chứng nhận đầu tư khu nuôi tôm công nghệ cao kết hợp du lịch sinh thái;
- Quyết định số 1605/QĐ-UBND của UBND tỉnh Bạc Liêu ngày 03/07/2012 về việc thu hồi 1.720.399,3 m2 đất do UBND xã Vĩnh Thịnh quản lý và cho Côg ty TNHH MTV Mai Đăng Khoa thuê để xây dựng khu nuôi tôm công nghệ cao kết hợp du lịch sinh thái tại xã Vĩnh Thịnh, hyện Hòa Bình, tỉnh Bạc Liêu;
- Biên bản về việc tổ chức giao đất ngoài thực địa cho Công ty TNHH MTV Mai Đăng Khoa lập ngày 11/07/2012 tại ấp Vĩnh Mới, xã Vĩnh Thịnh, huyện Hoà Bình, tỉnh Bạc Liêu;
- Hợp đồng thuê đất đã ký ngày 10/09/2012 giữa UBND tỉnh Bạc Liêu do Sở Tài nguyên và Môi trường tỉnh Bạc Liêu làm đại diện và Công ty TNHH MTV Mai Đăng Khoa về việc cho thuê 1.720.399,3m2 đất tại xã Vĩnh Thịnh, huyện Hòa Bình, tỉnh Bạc Liêu với thời hạn 40 năm kể từ 03/07/2012 đến 03/07/2052 để xây dựng khu nuôi tôm công nghệ cao kết hợp du lịch sinh thái;
- Trích đo hiện trạng địa chính khu đất giao cho Công ty TNHH MTV Mai Đăng Khoa ngày 12/03/2012;
b/- Các công việc chuẩn bị đầu tư bên A đã thực hiện, nhưng chưa thanh toán chi phí cho đối tác:
- Lập Báo cáo nghiên cứu khả thi của dự án: 1.273.000.000 VND, bao gồm:
+ Thuyết minh tính khả thi, hiệu quả kinh tế - xã hội của dự án;
+ Hồ sơ thiết kế cơ sở, khai toán tổng mức đầu tư;
- Khảo sát địa hình hiện trạng sử dụng đất: 3.243.000.000 VND
- Lập đồ án qui hoạch phân khu tỷ lệ 1/2000 và quy hoạch chi tiết xây dựng dự án tỷ lệ 1/500: 1.051.000.000 VND
- Đo vẽ bản đồ địa chính tỷ lệ 1/200: 2.271.000.000 VND
* Tổng giá trị các hợp đồng đã thực hiện, cần thanh toán là: 7.838.000.000 VND
Số tiền bBằng chữ: (Bảy tỷ, tám trăm ba mươi tám triệu đồng chẵn)
• Các khoản chi phí này không nằm trong giá trị chuyển nhượng, sau khi thực hiện chuyển nhượng, bên B phải chịu trách nhiệm thanh toán cho đơn vị tư vấn.
c/- Các công việc chuẩn bị đầu tư bên A đang thực hiện:
- Tổ chức họp dân và chính quyền địa phương, thông qua đồ án quy hoạch và phương án bồi thường, hỗ trợ, kế hoạch giải phóng mặt bằng;
- Liên hệ chính quyền địa phương và các cơ quan chức năng thực hiện việc hỗ trợ, di dời các hộ dân trong khu vực dự án để thu hồi đất, giải phóng mặt bằng;
- Kết hợp với chính quyền địa phương và các cơ quan chức năng thực hiện giải phóng mặt bằng – Tổ chức thu hồi, quản lý mặt bằng;
- Lập hồ sơ thiết kế kỹ thuật thi công, dự toán, tổng dự toán trình cơ quan chức năng thẩm định.
- Hoàn tất các thủ tục về xây dựng theo quy định của Chính phủ Việt Nam và tổ chức thực hiện dự án
d/- Các công việc chuẩn bị đầu tư đã ký kết hợp đồng đã thực hiện một phần:
- Hợp đồng tư vấn quản lý dự án: 5.046.000.000 VNĐ;
- Hợp đồng tư vấn lập hồ sơ thiết kế kỹ thuật thi công: 4.806.000.000 VNĐ;
* Ghi chú: Các công việc này bên A đã ký hợp đồng thuê tư vấn để cùng hỗ trợ cho bên A trong suốt quá trình lập các hồ sơ dự án để được chấp nhận quyền đầu tư theo quy định của luật pháp. Đối với các hợp đồng này, có thể thương lượng thanh toán một phần để thanh lý hợp đồng hoặc tiếp tục thực hiện hợp đồng.
e/- Các công việc cần tiếp tục ký hợp đồng để thực hiện dự án:
- Hợp đồng tư vấn thẩm tra hồ sơ thiết kế: 296.821.000 VND
- Hợp đồng tư vấn thẩm tra dự toán, tổng dự toán: 282.516.000 VND
- Hợp đồng tư vấn lựa chọn nhà thầu xây dựng: 225.297.000 VND
- Hợp đồng tư vấn giám sát thi công: 6.147.000.000 VND
Điều 4: Giá trị chuyển nhượng
Bao gồm các khoản chi phí phục vụ cho việc lập và phê duyệt hồ sơ pháp lý của dự án và các khoản chi phí cơ hội của bên A đã thực chi đến thời điểm ký kết hợp đồng chuyển nhượng
- Tổng giá trị hợp đồng chuyển nhượng dự án là: 15.000.000.000 VND
Bằng chữ: (Mười lăm tỷ đồng chẵn)
* Giá trị chuyển nhượng trên chưa bao gồm các khoản chi phí tư vấn đã thực hiện chưa thanh toán với bên nhà tư vấn.
Điều 5: Phương thức thanh toán
Ngay sau khi hợp đồng này được hai bên ký kết và có giá trị thực hiện; Bên B tiến hành thanh toán cho bên A khoản tiền bằng với giá trị chuyển nhượng là 15.000.000.000 VNĐ ( Mười lăm tỷ VND)
Khoản tiền trên được thanh toán cho bên A bằng tiền mặt hoặc chuyển khoản vào tài khoản sau:

Tại Ngân hàng Ngoại thương Việt Nam - Chi nhánh tỉnh Bạc Liêu.
Các khoản chi phí tư vấn chưa thanh toán được bên B thanh toán thông qua tài khoản ủy thác tại Ngân hàng thương mại.
Điều 5: Quyền lợi của bên A
Sau khi dự án được chuyển nhượng, tùy theo nhu cầu bên A có thể hợp tác với bên B tham gia thực hiện dự án và được phân chia lợi nhuận theo thỏa thuận hợp tác đã được ký kết.
Điều 6: Điều khoản thực hiện
Hai bên cam kết thực hiện nghiêm túc các điều khoản đã ghi trong hợp đồng này; trong quá trình hợp tác, hai bên có thể gặp nhau bàn bạc trao đổi, nếu cần có thể thoả thuận bổ sung;
Nếu bên nào vi phạm phải chịu hoàn toàn trách nhiệm trước cơ quan pháp luật nhà nước Việt Nam;
Hợp đồng này được lập gồm 05 trang, 06 Điều và lập thành 04 bản, mỗi bên giữ 02 bản để làm căn cứ thực hiện./.
