- Bất kì mọi thay đổi nào làm khác với quy định trong hợp đồng sẽ có hiệu lực khi được qui định bằng văn bản và có chữ ký của người có thẩm quyền của cả 2 bên.
- Thời hạn của hợp đồng : 12 tháng
Điều 2: Tên hàng gia công
1. Tên hàng: Tương ớt (chi tiết được quy định trong phụ lụcII)
2. Số lượng dự kiến :500 thùng /tháng
- Tổng sản phẩm dự kiến : 6000 thùng/năm
Theo quy tắc: bên A tính toán số liệu cần sản xuất và gửi tới bên B trước ngày 20 của mỗi tháng. Mọi sự thay đổi về tên hàng và số lượng hàng đều dựa theo yêu cầu của bên A. Chi tiết mã hàng, số lượng, đơn giá sẽ được quy định cụ thể trong phụ lục I. Phụ lục là một phần không thể tách rời của bản hợp đồng này.
3. Quy cách phẩm chất :
- Như mẫu đối do bên B cung cấp, số lượng 02 mẫu, mỗi bên giữ một mẫu. Hai bên ký tên và niêm phong trên mẫu số 02, ngày 03 tháng 01 năm 2012.
- Thời hạn được phép hủy mẫu hàng : Trong vòng 6 tháng sau ngày hết hạn sử dụng của lô hàng. Chú ý : Thời hạn sử dụng tương ớt là 1 năm kể từ ngày sản xuất.
- Mẫu hàng là một phần không thể tách rời khỏi hợp đồng này.
- Chi tiết cụ thể được quy định rõ trong phụ lục III và phụ lục là phần không thể tách rời khỏi hợp đồng này .
4. Quy cách đóng gói :
- Đóng trong túi nilon: 80x40mm, trọng lượng: 10g cả bì, hàn 2 mép, 1 mép răng cưa.
- Nhiệt độ bảo quản: 18-25*C.
- Tất cả được đóng trong thùng carton : 50x30x15 cm; thể tích 22500cm3.
- Phương thức đóng gói:hàng đóng gói phải đính kèm thẻ ghi trọng lượng và số lượng. Bên B phải in ấn đúng nhãn hiệu thương hiệu ngoài bao bì và các đặc điểm kỹ thuật phải được trình bày đúng như bên A yêu cầu bản mẫu, nếu bao bì khác với bản mẫu thì bên B phải chụi hoàn toàn trách nhiệm cho sự tổn thất của bên A.

Điều 3 : Tiền hàng gia công
- Đơn giá gia công dự kiến: 15 USD/thùng (chi tiết đính kèm trong phụ lục II)
- Số tiền nhận hàng tháng dự kiến : 7500 USD
- Tổng giá trị hợp đồng: 90000 USD
- Bằng chữ: Chín mươi nghìn đô la Mỹ chẵn.
- Đơn giá trên chỉ bao gồm chi phí nhân công, đóng gói sản phẩm, các bao bì đóng gói như: túi ni lon, lớp ngăn cách giữa các sản phẩm với nhau, găng tay…. cho công nhân đóng gói, hao mòn máy móc dùng để gia công sản phẩm và một số vật tư tiêu hao khác trong quá trình gia công.
- Đơn giá trên không bao gồm chi phí cho tất cả các nguyênvật liệu ,phụ liệu và phụ gia chính sử dụng trong quá trình sản xuất.
- Số tiền nhận gia công hàng tháng phụ thuộc vào lượng nguyên vật liệu bên A cung cấp cho bên B sản xuất và số lượng sản phẩm bên B làm ra .

Điều 5: Nguyên vật liệu,phụ liệu và phụ gia:
1) Nguyên phụ liệu
- Bên A có trách nhiệm cung cấp nguyên vật liệu, phụ liệu, phụ gia miễn phí cho bên B, đầy đủ đúng số lượng và chất lượng theo kế hoạch để đảm bảo quá trình gia công sản xuất một cách chính xác, rõ ràng để bên B đủ điều kiện làm thủ tục nhận hàng đưa vào sản xuất. Nếu nguyên vật liệu, phụ liệu, phụ gia giao không đủ số lượng, thì thời hạn giao hàng sẽ được kéo dài tương ứng.
- Bên B được phép thuê bên thứ 3 gia công toàn bộ sản phẩm hoặc một hay một số công đoạn của quá trình gia công.
- Tên nguyên vật liệu phụ liệu: (chi tiết như phụ lục I).
- Số lượng: bên A tính toán số liệu chuẩn và cung cấp cho bên B đều đặn vào mỗi tháng. Định mức hao hụt nguyên phụ liệu được phép chênh lệch 1%.
- Thời gian giao: Giao vào 2 đợt là ngày 10 và ngày 25 hàng tháng hoặc ngày giao có thể bị thay đổi tuỳ theo tình hình của công ty.
- Điều kiện giao hàng: CIF, Cảng CÁT LÁI, Incoterms® 2010
- Bên A đảm bảo giao hàng một cách đầy đủ và chịu mọi chi phí phát sinh có liên quan.
2) Quy định về chất lượng và kỹ thuật
- Bên B chịu mọi trách nhiệm về số lượng, chất lượng các nguyên vật liệu, phụ liệu, phụ gia từ ngày nhập hàng tới ngày giao hàng. Và phải sử dụng đúng loại nguyên liệu, phụ liệu, phụ gia đã được bên A cung cấp để sản xuất sản phẩm. Nếu bên B để mất mát hoặc dư hỏng thì phải bồi thường đầy đủ theo giá trị hàng hoá theo hoá đơn trừ những trường hợp sau:
+ Nguyên nhân quy định trong bất khả kháng
+ Nguyên nhân xuất phát từ bên A cung cấp không đầy đủ, không chính xác các tiêu chuẩn kỹ thuật để bảo quản nguyên vật liệu, phụ liệu, phụ gia. Trong trường hợp này, bên A phải chịu mọi tổn phí, chi phí phát sinh của cả 2 bên.
- Bên A có trách nhiệm cung cấp tất cả các tài liệu kỹ thuật và điều kiện sản xuất cho bên B trước khi đi vào sản xuất. Như chi tiết đóng gói, mẫu giấy đóng gói, mẫu đối, thông số kỹ thuật… để bên B có thể tiến hành sản xuất.
- Chất lượng sản phẩm dựa vào chất lượng nguyên phụ liệu do bên A cung cấp và chất lượng của mẫu đối chiếu đã được bên A duyệt trước khi đi vào sản xuất
