- Căn cứ luật Dân sự và luật Thương mại được Quốc hội nước Cộng Hòa Xã Hội Chủ Nghĩa Việt Nam khóa XI kỳ họp thứ VII thông qua ngày 14 tháng 06 năm 2005, có hiệu lực thi hành ngày 01 tháng 01 năm 2006.
- Căn cứ chức năng nhiệm vụ, khả năng và nhu cầu của hai bên.
Hôm nay, ngày 28 tháng 12 năm 2015 tại thành phố Phan Thiết tỉnh Bình Thuận, chúng tôi gồm :

Sau khi cùng bàn bạc thỏa thuận hai bên thống nhất ký kết hợp đồng với những nội dung như sau :
Điều 1: Nội dung:
Bằng giá trị hợp đồng sẽ ghi ở Điều 3 của hợp đồng này Bên A cam kết cho Bên B độc quyền khai thác vận chuyển hành khách từ Bên A bằng xe Taxi thương hiệu Quốc Tế (Bao gồm trong khuôn viên Victoria Phan Thiết Beach Resort & Spa và các địa điểm lân cận khác thuộc Bên A).
Điều 2 : Quyền và trách nhiệm của mỗi bên.
2.1 Quyền và trách nhiệm Bên A
- Tạo điều kiện thuận lợi cho tối thiểu 2 xe Taxi thuộc Bên B đậu trong khuôn viên khu vực đậu xe tại Victoria Phan Thiết Beach Resort & Spa Km9 đường Nguyễn Thông, Phường Phú Hài, TP.Phan Thiết, Bình Thuận.
- Chỉ sử dụng duy nhất xe Taxi Quốc Tế thuộc Bên B đưa đón khách đi và đến Victoria Phan Thiết Beach Resort & Spa và từ các địa điểm lân cận khác thuộc Bên A.
- Bảo vệ tính độc quyền hợp đồng cho Bên B trong việc đưa đón khách ra vào Bên A tại các địa điểm đã thỏa thuận. Không cho các phương tiện vận chuyển tương tự hoặc các hãng Taxi khác vào đón khách đi từ Victoria Phan Thiết Beach Resort & Spa và từ các địa điểm lân cận khác thuộc Bên A.
- Chịu trách nhiệm về tính hợp pháp trước cơ quan chức năng về vị trí đậu xe như thỏa thuận cho Bên B. Can thiệp giải quyết các tranh chấp với mọi đối tượng khác không thuộc Bên A và Bên B.
- Phổ biến Nội quy, Quy định về hoạt động phục vụ của Bên A cho người đại diện hợp pháp và đội ngũ lái xe thuộc Bên B.
- Cử người đại diện hợp pháp trực tiếp phối hợp với Bên B điều hành hoạt động đưa đón khách.
- Can thiệp với các phương tiện khác để tạo điều kiện thuận lợi cho xe của Bên B trong việc tăng cường phương tiện đáp ứng kịp thời yêu cầu phục vụ tại Bên A.
2.2 Quyền và trách nhiệm của bên B
- Được độc quyền khai thác vận chuyển hành khách bằng Taxi thương hiệu Quốc Tế từ Victoria Phan Thiết Beach Resort & Spa và các địa điểm lân cận khác thuộc Bên A.
- Được quyền thường xuyên đậu đỗ tối thiểu 2 xe Taxi thương hiệu Quốc Tế trong khuân viên khu vực đậu xe tại Victoria Phan Thiết Beach Resort & Spa Km9 đường Nguyễn Thông, Phường Phú Hài, TP.Phan Thiết, Bình Thuận.
- Thực hiện nghiêm túc Nội quy, Quy định về hoạt động phục vụ tại Bên A. Đậu đỗ xe đúng vị trí được sắp xếp.
- Phối hợp chặt chẽ với Bên A giữ gìn an ninh trật tự, an toàn giao thông, bảo vệ tài sản, không hút thuốc, ăn uống xả rác bừa bãi trong khu vực phục vụ giữ gìn vệ sinh tại vị trí hoạt động. Tác phong, đồng phục nghiêm túc đúng quy định Bên B.
- Bảo đảm phục vụ khách văn minh lịch sự nhằm nâng cao uy tín của thương hiệu cho cả hai bên. Không quan niệm lộ trình dài – ngắn. Ý thức trách nhiệm trong phục vụ khách như nhân viên thuộc Bên A.
- Đảm bảo số lượng phương tiện và chất lượng dịch vụ tốt nhất phục vụ tại Bên A. Hiện tại là 100% dòng phương tiện VIOS E và INNOVA E sản xuất năm 2015 có bảo hiểm và lắp đặt trang thiết bị đầy đủ.
- Trong quá trình đậu xe chờ phục vụ, lái xe phải có mặt tại xe. Không đi lại tùy tiện lôi kéo khách gây mất trật tự và làm ảnh hưởng xấu đến mỹ quan, thương hiệu của hai bên.
- Khi đưa đón khách, lái xe phải phụ giúp mang hành lý của khách lên, xuống xe. Phục vụ tận tình chu đáo. Trường hợp khách để quên, rơi rớt hành lý, tài sản trên xe, lái xe phải trung thực và có trách nhiệm hoặc báo về điều hành phối hợp Bên A trao trả lại cho khách.
- Hỗ trợ Bên A về các chiến lược truyền thông quảng cáo tại những thời điểm thỏa thuận nhất định trên địa bàn Thành phố Phan Rang – Tháp Chàm.
- Đảm bảo thường xuyên quản lý hoạt động của phương tiện bằng hệ thống định vị toàn cầu tiên tiến nhất để kiểm soát lộ trình và giá cước cuộc chạy nhằm quản lý lái xe phục khách của Bên A tốt nhất, trung thực nhất.
Điều 3: Thời hạn hợp đồng.
- Từ ngày 01/01/2016 đến 31/12/2018.
- Vào những thời điểm cụ thể, xét thấy cần thiết khi có đề xuất từ một trong các bên thì các bên sẽ cùng nhau thỏa thuận để thống nhất thay đổi, bổ sung điều khoản và lập phụ lục hợp đồng.
Điều 4 : Giá trị hợp đồng và hình thức thanh toán.
- Phí bến bãi : 1,000,000 đ/ tháng (Một triệu đồng một tháng).
- Vé Taxi miễn phí: 100 vé /tháng miễn phí sử dụng Taxi Quốc Tế mệnh giá 20,000đ/vé.
- Chi trả chiết khấu cuộc gọi theo quy chế Bên B đính kèm theo hợp đồng này.
- Bên B có trách nhiệm thanh toán cho Bên A toàn bộ giá trị hợp đồng mỗi tháng một lần vào ngày 07 - 10 của tháng kế tiếp tại Bên A hoặc hình thức và đối tượng giao dịch do Bên A chỉ định.
- Số vé miễn phí Bên A có thể yêu cầu được cung cấp bất kỳ thời điểm nào để sử dụng kịp thời mục đích Bên A.
- Ngoài các khoản phí, Bên B quảng bá miễn phí cho Bên A bằng hình thức đặt tờ rơi của Bên A trên túi sau lưng ghế trước trên tất cả phương tiện thuộc Bên B tại các tỉnh thành : Nha Trang - Khánh Hoà, Dalat - Lâm Đồng, Phan Rang – Tháp Chàm Ninh Thuận và Phan Thiết - Bình Thuận.
Điều 5 : Những điều khoản chung.
- Hai bên thống nhất thực hiện đúng các điều khoản đã cam kết, nếu trong quá trình thực hiện có phát sinh tranh chấp, hai bên sẽ cùng nhau thỏa thuận, giải quyết theo nguyên tắc bình đẳng, thiện chí và bảo đảm quyền lợi chính đáng của mỗi bên.
- Mọi thay đổi của hợp đồng này sẽ được hai bên thỏa thuận bằng văn bản hoặc phụ lục hợp đông mới có giá trị thực hiện và thanh toán.
- Hợp đồng này gồm 03 (ba) trang, được thành lập thành 02 (hai) bản bằng Tiếng Việt, mỗi bên giữ 01 (một) bản có giá trị pháp lý như nhau và có hiệu lực từ ngày ký.
