18. Quyết định các phương án thanh lý, nhượng bán tài sản cố định có giá trị còn lại dưới 50% vốn điều lệ của Tập đoàn nhưng không quá mức dự án nhóm B. Các phương án thanh lý, nhượng bán có giá trị lớn hơn mức phân cấp nêu trên, quyết định sau khi được Bộ Nông nghiệp và Phát triển nông thôn phê duyệt.
19. Quy định các quy chế quản lý nội bộ của Tập đoàn.
20. Phê duyệt báo cáo tài chính, phân phối lợi nhuận, trích lập và sử dụng các quỹ sau khi được Bộ Nông nghiệp và Phát triển nông thôn chấp thuận.
21. Quyền, trách nhiệm của Hội đồng thành viên Tập đoàn đối với công ty con 100% vốn nhà nước:
a) Quyết định thành lập, mục tiêu, nhiệm vụ và ngành, nghề kinh doanh; tổ chức lại, chuyển đổi sở hữu, giải thể và yêu cầu phá sản sau khi được Bộ Nông nghiệp và Phát triển nông thôn phê duyệt;
b) Phê duyệt Điều lệ, sửa đổi và bổ sung Điều lệ;
c) Quyết định vốn điều lệ khi thành lập và bổ sung vốn điều lệ trong quá trình hoạt động của công ty;
d) Quyết định bổ nhiệm, bổ nhiệm lại, miễn nhiệm, từ chức, khen thưởng, kỷ luật Chủ tịch và thành viên Hội đồng thành viên hoặc Chủ tịch công ty, Tổng Giám đốc hoặc Giám đốc, Kiểm soát viên công ty;
đ) Phê duyệt chiến lược, kế hoạch sản xuất kinh doanh, kế hoạch đầu tư phát triển 5 năm;
e) Phê duyệt chủ trương vay, cho vay, mua, bán tài sản có giá trị bằng hoặc lớn hơn 50% vốn điều lệ của công ty hoặc một tỷ lệ khác nhỏ hơn quy định tại Điều lệ của công ty;
g) Phê duyệt báo cáo tài chính hằng năm, phân phối lợi nhuận, trích lập và sử dụng các quỹ.
22. Thực hiện sắp xếp, đổi mới doanh nghiệp sau khi được Thủ tướng Chính phủ phê duyệt Đề án tổng thể.
23. Chịu trách nhiệm quản lý và điều hành Tập đoàn tuân thủ đúng quy định của pháp luật và các quyết định của chủ sở hữu; quản lý, sử dụng, bảo toàn và phát triển vốn có hiệu quả; báo cáo kịp thời cho chủ sở hữu về việc doanh nghiệp hoạt động thua lỗ, không bảo đảm khả năng thanh toán, không hoàn thành mục tiêu, nhiệm vụ do chủ sở hữu giao hoặc những trường hợp sai phạm khác.
24. Các quyền và trách nhiệm khác do chủ sở hữu nhà nước giao hoặc ủy quyền của Bộ Nông nghiệp và Phát triển nông thôn.
