Điều 15. Nhiệm vụ của Kiểm soát viên
1. Kiểm tra tính hợp pháp, trung thực, cẩn trọng của Hội đồng thành viên và Tổng Giám đốc trong tổ chức thực hiện quyền chủ sở hữu, trong quản lý điều hành công việc kinh doanh tại Tập đoàn, bao gồm các nội dung sau đây:
a) Việc tổ chức lại, chuyển đổi sở hữu, giải thể và yêu cầu phá sản đối với Tập đoàn; việc thành lập mới công ty con là công ty trách nhiệm hữu hạn một thành viên; việc góp, nắm giữ, tăng, giảm vốn của Tập đoàn vào công ty khác; việc thành lập, tổ chức lại, giải thể chi nhánh, văn phòng đại diện và các đơn vị hạch toán phụ thuộc khác; việc tiếp nhận doanh nghiệp tự nguyện tham gia làm công ty con, công ty liên kết;
b) Việc triển khai thực hiện Điều lệ của Tập đoàn;
c) Việc thực hiện mục tiêu, nhiệm vụ và ngành, nghề kinh doanh; chiến lược, kế hoạch sản xuất kinh doanh và kế hoạch đầu tư phát triển 5 năm, hằng năm của Tập đoàn;
d) Việc tăng vốn điều lệ; chuyển nhượng một phần hoặc toàn bộ vốn điều lệ của Tập đoàn cho tổ chức, cá nhân khác;
đ) Việc bảo toàn và phát triển vốn của Tập đoàn;
e) Việc thực hiện các dự án đầu tư, hợp đồng mua, bán, vay, cho vay và các hợp đồng khác của Tập đoàn;
g) Việc thực hiện chế độ tài chính, phân phối thu nhập, trích lập và sử dụng các quỹ của Tập đoàn theo quy định của pháp luật;
h) Việc thực hiện chế độ tiền lương, tiền thưởng trong Tập đoàn;
i) Các nội dung khác do chủ sở hữu quy định.

1. Check the legality, honesty, prudence of the Board members and CEO in implementing the rights holders, in the management and administration of business in the Group, including the following :
a) the reorganization, change of ownership, dissolution and bankruptcy requirements for the Group; the establishment of the new subsidiary is a limited liability company member; contribution, holding, capital increase or reduction of the Group in other companies; the establishment, reorganization and dissolution of branches, representative offices and dependent accounting units other; the receipt of voluntary participation now as subsidiaries, associated companies;
b) the implementation of the Charter of the Group;
c) The implementation of the objectives, tasks and lines of business; strategy, production and business plans and investment plans to develop 5 years, the Group's annual;
d) The increase of the charter capital; transfer of part or all of the charter capital of the Group for the organization, individual;
e) The preservation and development of the Group's capital;
e) The implementation of investment projects, contracts, sale , borrowing, lending and other contracts of the Group;
g) the provision of financial regulations, the distribution of income, appropriation and use of funds of the Group in accordance with the law;
h) implementation the regime of salaries and bonuses in the Group;
i) other matters specified by the owner.
