1. Nhà Cung Cấp vận chuyển Hàng Hóa

1. Nhà Cung Cấp vận chuyển Hàng Hóa đến Kho Trung tâm (DC).
2.Vận chuyển Hàng Hóa bị trả lại từ các Cửa Hàng XXX đến Kho Trung tâm và thực hiện các công việc hậu cần có liên quan trực tiếp đến việc trả hàng.
3. 3.1 Phí cho Dịch vụ Giao hàng qua Kho trung chuyển:
Phí Dịch Vụ được tính là ….tổng giá trị trước thuế của lô hàng thực giao.
3.2 Phí cho Dịch vụ chuyển trả hàng: Cho phần phí trả hàng : XXX sẽ hỗ trợ Nhà Cung Cấp 50% phí vận chuyển chiều về. Do đó cho phần phí Dịch vụ chuyển trả hàng: sẽ tính bằng 50% cước phí giao hàng cho Nhà Cung Cấp.

3.3. Hàng tháng, XXX sẽ phát hành hóa đơn cho Nhà Cung Cấp. XXX sẽ khấu trừ Phí Dịch Vụ từ bất kỳ khoản tiền nào đến hạn vào lúc đó hoặc sau đó, vào bất kỳ lúc nào sẽ đến hạn đối với Nhà Cung Cấp, cho đến khi Phí Dịch Vụ đã thu hồi đầy đủ.

4. Việc điều chỉnh theo giá nhiên liệu sẽ được thực hiện 06 tháng/ lần. Tất cả những thay đổi nào phát sinh cho phần Phí Dịch Vụ sẽ được XXX gửi thông báo bằng văn bản đến Nhà Cung Cấp, trước 01 tháng.

5.3Nếu Nhà Cung Cấp không giao hàng theo thỏa thuận đến Kho trung tâm, Nhà Cung Cấp có nghĩa vụ phải trả cho XXX một khoản tiền phạt tương đương Phí Dịch Vụ. Không ảnh hưởng đến các biện pháp khắc phục khác, Nhà Cung Cấp có nghĩa vụ bồi thường cho XXX toàn bộ thiệt hại mà XXX phải gánh chịu do hành vi vi phạm của Nhà Cung Cấp gây ra.

6.Bất kỳ tranh chấp nào mà Các Bên không thể giải quyết thông qua hòa giải sẽ được giải quyết lần cuối bởi Tòa Án có thẩm quyền tại nơi đặt trụ sở chính của Công Ty TNHH XXX Việt Nam
