Theo khoản 5 Điều 406 Bộ luật Dân sự 2005: “Hợp đồng vì lợi ích của người thứ ba là hợp đồng mà các bên giao kết hợp đồng đều phải thực hiện nghĩa vụ và người thứ ba được hưởng lợi ích từ việc thực hiện nghĩa vụ đó”.
