5.4.1 Thanh toán tạm ứng : Bên A sẽ

5.4.1 Thanh toán tạm ứng :
Bên A sẽ tạm ứng cho Bên B 30% (Ba mươi phần trăm) (trước VAT) giá trị hợp đồng sau khi ký Hợp đồng, trong vòng 7-10 (bảy đến mười) ngày làm việc Bên A nhận đủ các hồ sơ hợp lệ từ Bên B, bao gồm:
a) Giấy đề nghị tạm ứng theo mẫu của Bên A;
b) Thư bảo lãnh tiền tạm ứng có giá trị bằng giá trị tạm ứng nêu bên trên;
c) Thư Bảo lãnh thực hiện hợp đồng có giá trị bằng 30% giá trị Hợp Đồng.
Để cho rõ ràng, thư bảo lãnh tiền tạm ứng và bảo lãnh thực hiện Hợp Đồng phải có nội dung được Bên A chấp thuận, do Ngân hàng được phép hoạt động tại Việt Nam theo chấp thuận của Bên A phát hành, cam kết thanh toán vô điều kiện và không hủy ngang, và ngay lập tức khi có yêu cầu thanh toán của Bên A, thư bảo lãnh tiền tạm ứng và Bảo lãnh thực hiện hợp đồng có hiệu lực 60 ngày đến ngày hai bên ký biên bản nghiệm thu bàn giao hạng mục công trình được Chủ Đầu Tư chấp nhận.
Trong trường hợp biên bản nghiệm thu bàn giao nêu trên không được Các Bên ký kết muộn nhất 30 ngày trước ngày bảo lãnh tiền tạm ứng và/hoặc bảo lãnh thực hiện Hợp Đồng hết hiệu lực, Bên B có nghĩa vụ gia hạn hiệu lực của bảo lãnh tiền tạm ứng và/hoặc bảo lãnh thực hiện Hợp Đồng tương ứng, nhằm duy trì hiệu lực của bảo lãnh tiền tạm ứng và/hoặc bảo lãnh thực hiện Hợp Đồng 60 ngày đến ngày hai bên ký kết biên bản nghiệm thu bàn giao như nêu trên. Việc gia hạn bảo lãnh tiền tạm ứng và/hoặc bảo lãnh thực hiện Hợp Đồng (nếu có) phải được thực hiện trước khi bảo lãnh tiền tạm ứng và/hoặc bảo lãnh thực hiện Hợp Đồng hết hạn ít nhất 30 ngày và Bên A có quyền yêu cầu ngân hàng thanh toán ngay các khoản tiền bảo lãnh tiền tạm ứng và/hoặc bảo lãnh thực hiện Hợp Đồng theo Hợp Đồng này nếu việc gia hạn bảo lãnh không thực hiện trong thời hạn trên đây.

Tiền tạm ứng Hợp Đồng sẽ được Bên A khấu trừ ngay từ lần thanh toán tiến độ đầu tiên.

Bảo lãnh thực hiện hợp đồng sẽ được giải tỏa và bản gốc của chứng thư bảo lãnh đó sẽ được hoàn trả lại cho Bên B sau 60 ngày kể từ ngày ký xác nhận nghiệm thu bàn giao Hạng mục công trình được chủ đầu tư chấp nhận
5.4.2 Thanh toán đợt 1 :
Sau khi Bên B hoàn thành công tác sản xuất hàng hóa tại kho của bên B và được Bên A, Nhà thầu chính, Tư vấn giám sát và Chủ đầu tư nghiệm thu, trong vòng 7 (bảy) ngày, kể từ ngày nhận hồ sơ đề nghị thanh toán đầy đủ và hợp lệ theo quy định, Bên A có trách nhiệm kiểm tra, xác nhận thanh toán cho Bên B. Nếu có yêu cầu giải trình/ bổ sung hồ sơ, chứng từ, Bên A có trách nhiệm thông báo cho Bên B bằng văn bản nêu rõ các nội dung yêu cầu sửa chữa sai sót/ giải trình/ bổ sung chứng từ. Thời gian Bên B giải trình/bổ sung chứng từ sẽ không được tính vào thời gian 7 (bảy) ngày nêu trên.
Trong vòng 30 (ba mươi) ngày, kể từ ngày Bên B đã bổ sung đầy đủ hồ sơ thanh toán hợp lệ cho Bên A, Bên A sẽ thanh toán đến 70% (đã bao gồm các khoản khấu trừ theo quy định tại Điều 8.5) giá trị công việc mà Bên B thực hiện trong tháng đã được Bên A và Đại diện Chủ Đầu Tư xác nhận với điều kiện Bên A đã nhận đủ hồ sơ thanh toán hợp lệ.
Hồ sơ thanh toán hợp lệ bao gồm :
- Hóa đơn GTGT hợp lệ;
- Giấy đề nghị thanh toán;
- Bản gốc Biên bản nghiệm thu khối lượng tại kho của bên B theo từng đợt giao hàng có xác nhận của bên A
5.4.3 Thanh toán đợt 2 :
Trong vòng 30 ngày sau khi hai bên ký biên bản nghiệm thu hoàn thành bàn giao hạng mục công trình, Bên B có trách nhiệm nộp hồ sơ quyết toán, thanh lý Hợp Đồng cho Bên A để kiểm tra và phê duyệt thanh toán, nêu rõ giá trị đã thanh toán, giá trị đề nghị quyết toán, giá trị phát sinh kèm theo các tài liệu bổ trợ để được xem xét và chấp thuận. Trong vòng 30 ngày kể từ ngày hồ sơ quyết toán được Bên A phê duyệt, Bên A sẽ thanh toán cho Bên B đến 95% giá trị quyết toán (sau khi đối trừ các khoản đã thanh toán và các khoản khấu trừ khác, nếu có). Giá trị 5% quyết toán để bảo hành sẽ được thanh toán sau khi hết hời thạn bảo hành hoặc sau khi Bên B cung cấp chứng thư bảo lãnh bảo hành.
Bảo hành: Bên A giữ lại 05% (năm phần trăm) Giá trị quyết toán Hợp đồng để thực hiện bảo hành. Sau khi Bên B phát hành thư bảo lãnh bảo hành tương ứng với giá trị bảo lãnh bảo hành 5% giá trị quyết toán Hợp đồng thì Bên A sẽ thanh toán cho Bên B đến 100% giá trị quyết toán. Thư bảo lãnh này phải được phát hành bởi Ngân hàng được phép hoạt động tại Việt Nam theo chấp thuận của Bên A phát hành
Hồ sơ thanh toán hợp lệ bao gồm :
- Giấy đề nghị thanh/quyết toán;
- Hóa đơn GTGT hợp lệ;
- Biên bản nghiệm thu hoàn thành và bàn giao nội bộ của hạng mục công việc được các CHT/GĐDA Bên A/Nhà thầu chính, Bên B ký xác nhận;
- Bảo lãnh bảo hành 5% (năm phần trăm) giá trị quyết toán Hợp đồng có thời hạn 24 (hai mươi bốn) tháng kể từ ngày ký nghiệm thu bàn giao;
- Bản gốc Biên bản xác nhận của Kho có chữ ký của Giám sát/Thủ kho xác nhận Bên B đã trả hết dụng cụ, thiết bị hoặc không làm mất, hư hỏng đồ đạc đã mượn của Bên A/Nhà thầu chính (nếu có) (áp dụng cho đợt quyết toán);
- Các khoản phát sinh, khấu trừ khác nếu có.
5.5 Bên A có quyền tạm ngừng việc thanh toán khi có bằn
