Nền kinh tế toàn cầu mở ra cơ hội to lớn hơn bao giờ hết để doanh nghiệp tiếp cận tới các thị trường khắp nơi trên thế giới. Hàng hoá được bán ra ở nhiều nước hơn, với số lượng ngày càng lớn và chủng loại đa dạng hơn. Giao dịch mua bán quốc tế ngày càng nhiều và phức tạp, do đó nếu hợp đồng mua bán hàng hoá không đựơc soạn thảo một cách kỹ lưỡng sẽ có nhiều khả năng dẫn đến sự hiểu nhầm và những vụ tranh chấp tốn kém tiền bạc. Chính vì vậy mà cần có các cơ sở pháp lý để ký kết hợp đồng sao cho giảm thiểu các tranh chấp. Hiện nay có ba nguồn luật làm cơ sở điều chỉnh hợp đồng đó là nguồn luật quốc gia, nguồn luật quốc tế và tập quán quốc tế.
