Về thẩm quyền quyết định sau khi sáp nhập, Theo Luật Doanh nghiệp 2005, với các vấn đề lớn bao gồm việc chia, tách, hợp nhất, sáp nhập, nếu điều lệ công ty không quy định khác, thì phải được ít nhất 75% số cổ phần phổ thông có quyền biểu quyết thông qua tại cuộc họp đại hội đồng cổ đông công ty.
