1. Chủ thể - Doanh nghiệp tư nhân:

- Doanh nghiệp tư nhân: do một cá nhân làm chủ góp toàn bộ vốn, tự chịu toàn bộ lợi ích, trách nhiệm. Điều kiện làm chủ của doanh nghiệp tư nhân là công dân Việt Nam trên 18 tuổi, có thể là người nước ngoài nhưng phải thỏa mãn các điều kiện về hành vi thương mại do pháp luật đất nước đó quy định.

- Hộ kinh doanh: do cá nhân là công dân Việt Nam hoặc một nhóm, một hộ gia đình làm chủ, cùng nhau quản lý, phát triển mô hình và cùng chịu trách nhiệm về hoạt động của mình.

+ Không giới hạn quy mô, vốn, địa điểm kinh doanh

+ Không được phép xuất khẩu, nhập khẩu

- Hộ kinh doanh

+ Nhỏ hơn

+ Kinh doanh buôn bán phải lựa chọn một địa điểm cố định để đăng ký kinh doanh, có thể là nới đăng ký hộ khẩu thường trú, nơi tạm trú hoặc địa điểm thường xuyên kinh doanh nhất.

+ Nếu buôn bán lưu động, kinh doanh ngoài địa điểm kinh doanh phải thông báo cho cơ quan thuế, quản lý kinh doanh…

+ Không được phép xuất khẩu, nhập khẩu.

3. Lượng nhân công

- Doanh nghiệp tư nhân: không hạn chế

- Hộ kinh doanh: giới hạn nhân công 10 người

4. Điều kiện kinh doanh

- Doanh nghiệp tư nhân: buộc phải đăng kí kinh doanh, phải đăng kí kinh doanh ở cấp tính để được cấp giấy chứng nhận đăng ký kinh doanh, phải có con dấu trong quản lý được cơ quan công an cấp

- Hộ kinh doanh:chỉ trong một sô trường hợp nhất đinh, đăng ký kinh doanh ở cơ quan cấp huyện và không có con dấu.

5. Ưu điểm

- Doanh nghiệp tư nhân: một chủ đầu tư, thuận lợi trong việc quyết định các vấn đề của doanh nghiệp, dễ dang vay vốn do chế độ chịu trách nhiệm của mình.

- Hộ kinh doanh: quy mô gọn nhẹ, chế độ chứng từ sổ sách kế toán đơn giản, phù hợp với cá nhân kinh doanh nhỏ lẻ.

6. Nhược điểm

- Doanh nghiệp tư nhân: không có tư cách pháp nhân, chủ doanh nghiệp chịu trách nhiệm vô hạn về tài sản của Chủ doanh nghiệp.

- Hộ kinh doanh: không có tư cách pháp nhân, chịu trách nhiệm bằng toàn bộ tài sản của chủ hộ, tính chất hoạt động manh mún.
