Là doanh nghiệp được thành lập theo quy định của pháp luật, có đăng ký sản xuất vàng bạc đá quý, trang sức mỹ nghệ trong Giấy chứng nhận đăng ký doanh nghiệp khi đăng ký kinh doanh.

Có địa điểm buôn bán riêng, cụ thể, cơ sở vật chất, trang thiết bị làm việc thiết yếu phải có để đáp ứng nhu cầu kinh doanh của doanh nghiệp, phục vụ cho hoạt động sản xuất vàng trang sức, mỹ nghệ.

Tuy nhiên, để có thể thành lập doanh nghiệp kinh doanh mua bán vàng miếng thì điều kiện để được cấp Giấy phép kinh doanh thì rất là khó và đòi hỏi rất cao so với các ngành, nghề khác. Cụ thể là, doanh nghiệp phải được Ngân hàng nhà nước xem xét và cấp Giấy chứng nhận kinh doanh khi đáp ứng đầy đủ tất cả các điều kiện sau:

- Là doanh nghiệp thành lập và hoạt động theo quy định của pháp luật.

- Chủ doanh nghiệp phải có vốn điều lệ từ 100 tỷ đồng trở lên thì mới được thành lập doanh nghiệp kinh doanh vàng bạc.

- Phải có kinh nghiệm trong các lĩnh vực kinh doanh, mua bán vàng từ 02 năm trở lên như làm nhân viên kinh doanh hay quản lý bán vàng từ 02 năm trở lên thì mới được tự mình thành lập doanh nghiệp kinh doanh vàng bạc.

- Số tiền thuế đã nộp từ hoạt động kinh doanh mua bán vàng trong hai năm liên tiếp gần nhất phải đạt tối thiểu từ 500 triệu trở lên, phải có xác nhận của cơ quan thuế.

- Doanh nghiệp kinh doanh mua bán vàng miếng phải có chi nhánh tại các tỉnh, thành phố trực thuộc Trung ương tại Việt Nam từ 05 năm

Sau khi đáp ứng đủ các điều kiện trên, doanh nghiệp kinh doanh vàng miếng sẽ lập hồ sơ để xin Giấy phép hoạt động kinh doanh vàng, bao gồm: Đơn đề nghị cấp Giấy phép mua bán vàng miếng gửi lên Ngân hàng nhà nước; Giấy chứng nhận đăng ký doanh nghiệp có đăng ký hoạt động kinh doanh vàng; Giấy chứng nhận hoạt động của các chi nhánh tại địa bàn và các tỉnh, thành phố (nếu có); Xác nhận của cơ quan thuể về số thuế của doanh nghiệp kinh doanh vàng miếng đã đáp ứng đúng nhu cầu theo pháp luật quy định trong 02 năm liền kề trước đó.

Sau khi nộp lên Ngân hàng nhà nước, trong thời hạn 30 ngày làm việc sẽ cấp Giấy phép kinh doanh cho doanh nghiệp nếu hồ sơ đầy đủ hoặc từ chối, yêu cầu bổ sung có ghi lí do.
