ĐHĐCĐ bao gồm tất cả cổ đông có quyền biểu quyết tức là cổ đông phổ thông và cổ đông ưu đãi biểu quyết, là cơ quan quyết định cao nhất của CTCP. Như vậy, ĐHĐCĐ không bao gồm cổ đông ưu đãi cổ tức và cổ đông ưu đãi hoàn lại.
