Sau sự sụp đổ gây chấn động nước Mỹ của nhiều tập đoàn lớn như: Enron, WorldCom, Peregrine Systems..., nước Mỹ mới ban hành một đạo luật nhằm ngăn chặn những gian dối tài chính và bảo vệ nhà đầu tư tốt hơn.

Đạo luật Sarbanes-Oxley (hay còn gọi là Sarbox, SOX) có thể là sự tham khảo hữu ích cho những nhà quản lý thị trường chứng khoán Việt Nam, nhất là trong bối cảnh hiện nay khi mà liên tục xảy ra những scandal không đáng có.

Được Quốc hội Mỹ thông qua ngày 30/7/2002, đạo luật được bảo trợ bởi nguyên Thượng nghị sỹ bang Maryland, Paul Sarbanes và Nghị sỹ Michael Oxley, và là một trong những luật căn bản của nghề kế toán, kiểm toán.
