Là phương thức bảo lãnh mà theo đó tổ chức bảo lãnh cam kết sẽ mua toàn bộ số chứng khoán phát hành cho dù có phân phối được hết chứng khoán hay không. Trong hình thức bảo lãnh tổ hợp theo "cam kết chắc chắn", một nhóm các tổ chức bảo lãnh hình thành một tổ hợp để mua chứng khoán của tổ chức phát hành với giá chiết khấu so với giá chào bán ra công chúng (POP) ( public offering price) và bán lại các chứng khoán đó ra công chúng theo giá POP. Chênh lệch giữa giá mua chứng khoán của các tổ chức bảo lãnh và giá chào bán ra công chúng được gọi là hoa hồng chiết khấu.
