1997: Nhà nước đang hạn chế hệ thống phân phối bán lẻ chỉ được là của các công ty 100% Việt Nam. Shiseido, một thương hiệu nổi tiếng muốn thâm nhập VN chỉ còn cách liên kết với một nhà phân phối nào đấy, họ chọn Thủy Lộc. Thủy Lộc xây dựng hệ thống bán lẻ dựa trên sự góp vốn của các cửa hàng nhỏ phía dưới nữa, Thủy Lộc làm trung gian.

2007: Việt Nam gia nhập WTO kèm theo một số cam kết bắt buộc phải tuân theo trong đó có việc dỡ bỏ sự hạn chế của nhà nước đối với hệ thống phân phối bán lẻ.

2008~2010: Shiseido lập công ty TNHH Shiseido Việt Nam gọi tắt là SCV. SCV bằng nhiều biện pháp khác nhau như găm nguồn hàng, cài người vào hệ thống quản lý... đã đánh lỗ hệ thống bán lẻ của các cửa hàng nhỏ, song song với đó SCV âm thầm xây dựng nhân lực cho hệ thống phân phối riêng của mình.

2012: SCV xin được giấy phép quyền phân phối ở thị trường VN. SCV tung ra hai đòn hiểm, mua lại phần góp vốn của Thủy Lộc với giá rẻ mà Thủy Lộc không thể không bán, đưa đơn kiện ra tòa để phong tỏa hàng hóa của các cửa hàng nhỏ mục đích nhằm ép các cửa hàng này phải nhượng bộ (SCV có thể chờ được tới 1 năm, trong khi đó các cửa hàng bán mỹ phẩm bị phong tỏa không thể cầm cự quá 3 tháng). Khi các cửa hàng sụp đổ, SCV dùng đòn hiểm cuối cùng, chỉ việc cử người đi thuê lại chính cái cửa hàng đó và dựng biển Shiseido.
