Nội dung của bản cam kết:

Điều 1: Bên A đồng ý thực hiện việc trao trả quyền sử dụng đất cho UBND tỉnh Hải Dương, tại thửa đất số BG955304, diện tích 25.785m2(Hai mươi năm nghìn, bẩy trăm tám mươi năm mét vuông), vị trí thửa đất số 679, tờ bản đồ địa chính số 01, xã Hồng Hưng, Huyện Gia Lộc, tỉnh Hải Dương, Việt Nam, để tạo điều kiện cho Bên B có thể tiếp nhận lô đất nói trên từ UBND tỉnh Hải Dương, đồng thời Bên A đồng ý chuyển nhượng tài sản trên lô đất nói trên cho Bên B. Diện tích chuyển nhượng căn cứ theo Quyết định ngày 14/09/2012 số 2089/QĐ-UBND giải phóng mặt bằng thu hồi đất của UBND tỉnh Hải Dương.

Điều 2: Giá cả và phương thức thanh toán
- Giá chuyển nhượng là: 560.000VND/m2(Năm trăm sáu mươi nghìn đồng / mét vuông)đã bao gồm thuế GTGT, và các chi phí theo nghĩa vụ mà nhà nước Việt Nam quy định.
- Tổng số tiền chuyển nhượng là: 14.439.600.000VND(Mười bốn tỷ, bốn trăm ba mươi chín triệu, sáu trăm nghìn đồng./.)
- Phương thức thanh toán bằng chuyển khoản vào tài khoản của bên A đã được ghi trong bản cam kết này hoặc số tài khoản khác của Bên A do Bên A chỉ định.
- Các đợt thanh toán:
+ Đợt 1: Bên B có trách nhiệm đặt cọc cho bên A số tiền 1.000.000.000VND(Một tỷ đồng chắn./.) sau khi ký kết Biên bản này. Việc đặt cọc số tiền đợt 1 do bên C trả thay cho Bên B.
+ Đợt 2: Bên B có trách nhiệm thanh toán cho Bên A số tiền 11.549.280.000VND(Mười một tỷ, năm trăm bốn mươi chin triệu, hai trăm tám mươi nghìn đồng./.) trong khoảng 10 ngày kể từ ngày Bên Bcó đầy đủ tư cách pháp nhân tại Việt Nam.
+ Đợt 3: Bên B có trách nhiệm thanh toán số tiền còn lại: 2.890.320.000VND(Hai tỷ, tám trăm chin mươi nghìn, ba trăm hai mươi nghìn đồng./.)sau khi Bên B nhận được giấy chứng nhận quyền sử dụng đất.
* Sau khi Bên B có đầy đủ tư cách pháp nhân, Bên B có trách nhiệm chuyển cho Bên A toàn bộ số tiền mà Bên C trả thay cho Bên B. Sau đó Bên A có trách nhiệm chuyển cho Bên C toàn bộ số tiền mà Bên C đã trả thay cho Bên B trong việc thực hiện thoả thuận của bản cam kết này.

Điều 3: Trách nhiệm của các bên
Trách nhiệm của Bên A
Bên A thực hiện việc làm thủ tục đăng ký kinh doanh cho Bên B, làm thủ tục xin cấp phép chấp thuận đầu tư cho Bên B và các thủ tục liên quan đến cơ quan nhà nước có thẩm quyền về việc chấp thuận cho bên A được thuê lại lô đất nói trên.
Bên A có trách nhiệm thực hiện các việc liên quan đến quyết định chuyển nhượng tài sản gắn liền với đất như: Lập biên bản họp Hội đồng quản trị; Lập quyết định của Chủ tịch Hội đồng quản trị về việc thực hiện cam kết này; Lập giấy uỷ quyền người đại diện thực hiện các giao dịch trong cam kết này.
Bên A có trách nhiệm cải tạo đường dẫn vào lô đất theo yêu cấu sau: Nắn chỉnh sửa mặt đường, giải lớp đá Base cho mặt đường đảm bảo cho phương tiện ra vào được thuận lợi.

Trách nhiệm của bên B:
Bên B có tránh nhiệm thanh toán cho Bên A theo đúng thời gian quy định.
Bên A và Bên B có trách nhiệm lập và ký kết hợp đồng chuyển nhượng tài sản sau khi Bên B có đầy đủ tư cách phấp nhân theo Luật doanh nghiệp Việt Nam.
