Điều 1: Dịch vụ

Bên B đồng ý cung cấp cho Bên A dịch vụ kế toán chuyên nghiệp theo phạm vi công việc như sau:


1. Kiểm tra chứng từ kế toán;
2. Báo cáo thuế theo quy định;
3. Lập báo cáo tài chính theo quy định;
4. Lập và in sổ sách kế toán theo quy định;
5. Hỗ trợ giải trình với cơ quan thuế trong phạm vi công việc Bên B thực hiện;
6. Lập hợp đồng lao động, đăng ký BHXH + BHYT theo quy định.

Trong Hợp đồng này hai Bên thỏa thuận thực hiện dịch vụ Bên A kinh doanh lĩnh vực thương mại không bao gồm lĩnh vực xây dựng và sản xuất.

Điều 2: Thời gian thực hiện

Thời gian thực hiện hợp đồng: Kể từ hồ sơ kế toán tháng 10 năm 2016 cho đến hết tháng 01 năm 2018. Trong trường hợp hết hạn Hợp đồng mà các Bên không có thỏa thuận nào khác thì Hợp đồng đương nhiên gia hạn thêm một kỳ hạn (01 năm) tiếp theo.
Trong trường hợp một Bên muốn chấm dứt hợp đồng trước hạn thì phải báo trước cho Bên kia thời gian tối thiểu là 02 tháng và phải hoàn thành các nghĩa vụ và trách nhiệm
được quy định tại Hợp đồng này.

Điều 3: Phân công nhân sự thực hiện, phương thức thực hiện

3.1. Phân công nhân sự thực hiện

Bên A thống nhất Bên B cử nhân sự là Bà Tạ Ngọc Hà trực tiếp thực hiện dịch vụ kế toán theo phạm vi đã nêu tại Điều 1.

3.2. Phương thức thực hiện

- Bên A sẽ cung cấp một máy tính đển bàn hoặc thiết bị làm việc tương tự, phần mềm kế toán, sử dụng cac thiết bị khác phục vụ liên quan nhu cầu công việc và không được di dời khỏi nơi làm việc mà không được sự đồng ý của Bên A.
- Bên B tự túc đi lại làm việc tại văn phòng Bên A.
- Nhân viên Bên B sẽ đến nơi làm việc mỗi tuần một lần vào một ngày xác định để tiến hành công việc của mình.

3.3. Chứng từ/sổ sách:

Bên B sẽ thực hiện trên cơ sở hồ sơ chứng từ bản chính do Bên A cung cấp và lưu lại toàn bộ tại văn phòng của Bên A.

Điều 4: Phí dịch vụ và phương thức thanh toán

4.1.Phí dịch vụ:

Phí dịch vụ hàng tháng: 2.500.000 đồng/tháng (Bằng chữ: Hai triệu năm trăm ngàn đồng/tháng).

Phí trên là phí Bên A thanh toán cho nhân sự Bên B đến làm việc tại văn phòng Bên A và không bao gồm thuế.

Nếu chứng từ và nghiệp vụ kế toán Bên A phát sinh nhiều thì hai bên thỏa thuận điều chỉnh tăng phí dịch vụ.

4.2. Hình thức thanh toán
Bên A thanh toán cho Bên B bằng đồng Việt Nam bằng hình thức tiền mặt hoặc chuyển khoản.

4.3. Phương thức và thời gian thanh toán
Phí dịch vụ Bên A thanh toán cho Bên B mỗi 01 tháng/lần, thời gian thanh toán vào ngày 05 hàng tháng. Nếu ngày 05 trùng vào ngày nghỉ thì thanh toán vào ngày làm việc trước hoặc sau liền kề.

Điều 5: Trách nhiệm của mỗi bên

5.1. Trách nhiệm của Bên A
- Đảm bảo cung cấp kịp thời, đầy đủ cho Bên B các thông tin cần thiết, liên quan đến việc thực hiện dịch vụ theo yêu cầu của Bên B;
- Cử nhân viên của Bên A phối hợp với Bên B và tạo điều kiện thuận lợi để Bên B có thể xem xét và thu thập các thông tin cần thiết cho việc thực hiện dịch vụ;
- Chịu hoàn toàn trách nhiệm về tính pháp lý của chứng từ mà Bên A cung cấp liên quan đến việc thực hiện dịch vụ cũng như mọi vấn đề liên quan đến hoạt động kinh doanh của đơn vị mình;
- Chịu trách nhiệm nếu không thực hiện theo phương án chỉnh sửa sai sót do Bên B đưa ra.
- Thanh toán phí dịch vụ cho bên B đúng hạn.

5.2. Trách nhiệm của Bên B
- Cam kết đủ điều kiện để cung cấp dịch vụ kế toán theo đúng quy định của pháp luật;
- Bên B đảm bảo cung cấp dịch vụ theo đúng phạm vi công việc quy định tại Điều 1;
- Thực hiện công việc theo như kế hoạch và theo đúng các nguyên tắc độc lập, khách quan và bảo mật;
- Cử nhân viên và chuyên viên có năng lực, kinh nghiệm thực hiện công việc;
- Bên B không can thiệp vào nội bộ, không chịu trách nhiệm về những hoạt động kinh doanh cũng như các nội dung, tính pháp lý đã ghi trong hoá đơn, chứng từ của bên A;
- Chịu trách nhiệm do lỗi bên mình gây ra.

Điều 6: Cam kết các bên
Các Bên cam kết thực hiện các điều khoàn Hợp đồng này. Trong quá trình thực hiện Hợp đồng mỗi Bên phải thông báo cho Bên kia kịp thời những vướng mắc cản trở việc thực hiện thành công Hợp đồng này để Bên kia cùng thảo luận và tìm biện pháp giải quyết. Mọi sửa đổi, bổ sung bất kỳ Điều khoản nào của Hợp đồng này đều phải được người đại diện hợp pháp của hai bên lập thành văn bản dưới hình thức một Phụ lục sửa đổi, bổ sung Hợp đồng và phải được ký kết theo thẩm quyền, trình tự như ký kết Hợp đồng này.
Thông tin trao đổi sẽ được thực hiện trên văn bản, fax và email gửi đến địa chỉ đã nêu ở trên của mỗi Bên.

Điều 7: Bảo mật thông tin

Dựa trên những điều khoản trên Hợp đồng và thời hạn chấm dứt hay kết thúc Hợp đồng bởi bất kỳ lý do gì. Bên B và nhân viên bên B:
- Không được tiết lộ cho bất cứ bên thứ 3 nào nếu không được sự đồng ý của bên A.
- Không sử dụng những thông tin bí mật cho mục đích khác ngoài những nghĩa vụ được thể hiện trong Hợp đồng này.


Điều 8: Thủ tục giải quyết tranh chấp hợp đồng

Những tranh chấp phát sinh trong việc thực hiện Hợp đồng sẽ được thương lượng và
giải quyết bởi các Bên trên tinh thần thiện chí hợp tác

Article 4: Fees and payment methods

4.1. service fees:

monthly service fee: VND 2,500,000 / month (in words: two million five hundred thousand / month).

4.2. Forms of payment

Article 5: Responsibilities of each party

5.1. Responsibilities of Party A

Article 6: commitment of the

Article 7: confidentiality of information
