Vì định nghĩa này có nhiều phần trùng với định nghĩa của Lewis nhưng lại thể hiện rõ ràng hơn những người có liên quan đến đạo đức kinh doanh, nên sẽ được sử dụng trong bài viế này. Theo định nghĩa này, đạo đức kinh doanh có rất nhiều điểm chung với sự tuân thủ pháp luật, trách nhiệm của doanh nghiệp với xã hội, những vấn đề có liên quan đến quyền lợi và nghĩa vụ về mặt đạo lý giữa công ty với cổ đông: như trách nhiệm uỷ thác, so sánh khái niệm cổ đông với khái niệm người có chung quyền lợi...Điều này có nghĩa là đạo đức kinh doanh không chỉ bao gồm việc tuân thủ pháp luật mà còn quan tâm đến việc bảo vệ quyền lợi cho những người có liên quan đến hoạt động của doanh nghiệp và quyền lợi của cộng đồng.
