XNDV và XNVT Ô-tô được thành lập trên cơ sở Nghị quyết kỳ họp thứ 2 của Hội đồng XNLD Vietsovpetro ký ngày 9.7.1982.
XNDV có nhiệm vụ chính là tiếp nhận, bảo quản và xuất vật tư, thiết bị được nhập về kho của XNDV cho các xí nghiệp, đơn vị của LD Vietsovpetro theo các hợp đồng nhập khẩu và hợp đồng kinh tế do LD Vietsovpetro, các đơn vị trực thuộc Vietsovpetro và XNDV ký kết, đồng thời làm các chứng từ cần thiết theo quy định, cung ứng hàng ra biển theo đơn hàng của các đơn vị; nhận, bảo quản và giao hàng gửi từ biển về cho các chủ hàng tương ứng…
Chức năng nhiệm vụ chủ yếu của XNVT Ô-tô là “Phục vụ kịp thời và có chất lượng nhu cầu sử dụng phương tiện vận tải hành khách, hàng hóa, nhu cầu xếp dỡ và các thiết bị máy móc chuyên dụng khác của các đơn vị trong Liên doanh VN VSP”, trong đó vận tải hàng hóa, nhu cầu xếp dỡ và các thiết bị máy móc chuyên dụng khác chủ yếu từ XNDV.
Trong điều kiện giá dầu thế giới ngày càng giảm mạnh, sản lượng dầu của Vietsovpetro đang trên đà đi xuống, nhằm đảm bảo hiệu quả kinh tế, đảm bảo an sinh xã hội cho toàn thể CBCNV Vietsovpetrro, đòi hỏi tập thể Lao động Quốc tế Vietsovpetrro cần áp dụng nhiều biện pháp tổng thể giảm chi phí, trong đó có chi phí nhân công. XNDV và XNVT Ôtô đều là những Xí nghiệp làm nhiệm vụ phụ trợ cho sản xuất chính của Vietsovpetro, hiện đang có nhiều Phòng, Ban có cùng chức năng, nhiệm vụ, hoàn toàn có thể sát nhập, giảm bớt chi phí quản lý và nhân công dôi dư.
- Ngoài ra, XNDV và XNVT Ô-tô là 2 Xí nghiệp có lực lượng lao động không đòi hỏi những chuyên môn kỹ thuật phức tạp, chiếm tỷ lệ lớn so với tổng số CBCNV của 2 Xí nghiệp. Thực tế cho thấy trong điều kiện giá dầu ngày càng giảm sâu, khối lượng công việc cũng giảm, việc sử dụng lực lượng lao động phổ thông theo biên chế như hiện nay không phải là phương án có lợi có Xí nghiệp về lâu dài, không kinh tế so với phương án sử dụng lực lượng lao đồng hợp đồng thời vụ hoặc thuê dịch vụ ngoàii với các công việc khẩn.
Tuy nhiên, việc sát nhập 02 Xí nghiệp vẫn đảm bảo:
- Phải Đảm bảo quyền lợi cho CBCNV của cả 02 Xí nghiệp cho đến khi nghỉ hưu, bố trí và tạo công ăn việc làm cho tất cả CBCNV, không giảm lương, giảm chức danh, không gây xáo trộn lớn, làm ảnh hưởng đế đời sống vật chất cũng như tinh thần của CBCNV. Như đã nói ở trên, việc giảm chi phí nhân công là việc buộc phải làm trong điều kiện hiện nay, nhưng phải theo lộ trình, theo thời gian nghỉ hưu của từng CBNCNV của cả 2 XN.
- Xí nghiệp mới đủ mạnh về khai thác cảng và kho bãi, cung cấp dịch vụ hậu cần cảng cho công tác tìm kiếm thăm dò, khai thác dầu khí nói chung và là một cảng quốc tế trong khu vực.
- Xây dựng thương hiệu cảng dịch vụ dầu khí VSP và quảng bá ngày càng rộng rãi .
- Tăng tính tự chủ hơn cho doanh nghiệp phát huy các thế mạnh sẵn có của doanh nghiệp và nâng cao hiệu quả sản xuất kinh doanh.
- Việc sát nhập 02 Xí nghiệp phải phù hợp, đảm bảo hoàn thành kế hoạch XSKD, thực hiện tốt yêu cầu, nhiệm vụ chính của Vietsovpetro, theo luật pháp, luật lao động, phải theo định hướng chung của Tập đoàn dầu khí Việt Nam và những chủ trương chung của Nhà nước trong xu thế hội nhập quốc tế.
Với những lý do như trên, nhằm mục đich đáp ứng với tình hình sản xuất kinh doanh của Vietsovpetro trong bối cảnh hiện tại, Liên doanh Việt – Nga Vietsovpetro xin được trình bày Đề án sát nhập XNDV và XNVT Ô tô thành một Xí nghiệp với tên gọi:
