Công ty quản lý Quỹ Mẹ sẽ lựa chọn các Quỹ ĐTMH tư nhân để cùng góp vốn thành lập các Quỹ ĐTMH đồng thời thành lập hội đồng quản lý (bao gồm thành viên từ Quỹ Mẹ và thành viên từ các Quỹ tư nhân cùng tham gia đầu tư, số lượng thành viên theo tỷ lệ góp vốn) để bàn bạc và quyết định về: các lĩnh vực tập trung, mục tiêu, các tiêu chí lựa chọn DN và lịch trình cho từng Quỹ. Các Quỹ tư nhân được hưởng các ưu đãi về thuế và phân chia lợi nhuận, đồng thời Quỹ Mẹ sẽ chịu một số rủi ro ban đầu nếu có.
