1. Sau buổi họp ngày 12/10/2016, thì về cơ bản các Bên nhất trí về việc:

Lo ngại về việc tại thời điểm xin chuyển tên Giấy chứng nhận quyền sử dụng đất từ SSC sang cho Công ty Liên Doanh thì các cơ quan nhà nước có thẩm quyền sẽ thực hiện luôn thủ tục xác định nghĩa vụ tài chính bổ sung và yêu cầu SSC đóng nghĩa vụ tài chính trước khi chuyển tên cho Liên Doanh. Do đó, để đảm bảo quyền lợi cho SSC và thuận tiện cho các Bên trong Phụ lục Hợp đồng liên doanh sẽ bổ sung thêm điều khoản có nội dung cơ bản như sau”

a. Nếu SSC được yêu cầu phải thực hiện nghĩa vụ tài chính bổ sung trước khi chuyển tên Giấy chứng nhận cho Liên doanh thì Liên Doanh sẽ thực hiện chuyển nghĩa vụ tài chính đó cho SSC, sau đó SSC sẽ nộp nghĩa vụ tài chính cho Nhà nước và thực hiện thủ tục chuyển tên Giấy chứng nhận Khu đất cho Liên Doanh.

Theo đó, thời điểm chuyển giao Khu đất sẽ là thời điểm SSC đóng nghĩa vụ tài chính bổ sung cho Nhà nước và chuyển tên Giấy chứng nhận cho Liên Doanh.

b. Vì các Bên dã chậm thực hiện thủ tục đăng ký doanh nghiệp, chậm thực hiện thủ tục góp vốn so với Giấy chứng nhận đăng ký đầu tư Dự án, cũng như việc các Bên thống nhất điều chỉnh giá trị khu đất xuống còn 100 tỷ. Do đó, trước khi thực hiện thủ tục đăng ký doanh nghiệp, Các Bên phải thực hiện thủ tục điều chỉnh Giấy chứng nhận đăng ký đầu tư Dự án để thể hiện đúng nội dung thỏa thuận nhằm tránh rủi ro về việc cơ quan thuế yêu cầu SSC đóng thuế TNDN dựa trên giá trị Khu đất mà các Bên thống nhất trước đây (~181 tỷ),. Ước tính thời gian cần thiết để thực hiện thủ tục điều chỉnh Giấy chứng nhận đăng ký đầu tư Dự án là 02 tháng. Vì vậy, thời gian cần thiết để các Bên hoàn thành các điều kiện tiên quyết sẽ kéo dài thêm 02 tháng, tức 15 tháng thay vì 13 tháng như thống nhất trước đây.
