Nhà đầu tư nước ngoài, tổ chức kinh tế có vốn đầu tư nước ngoài góp vốn, mua phần vốn góp, cổ phần trong công ty TNHH, công ty cổ phần phải thực hiện thủ tục đăng ký góp vốn, mua cổ phần trong những trường hợp:

• Nhà đầu tư nước ngoài góp vốn, mua cổ phần, phần vốn góp vào tổ chức kinh tế hoạt động trong ngành, nghề đầu tư kinh doanh có điều kiện áp dụng đối với nhà đầu tư nước ngoài;

• Việc góp vốn, mua cổ phần, phần vốn góp dẫn đến nhà đầu tư nước ngoài nắm giữ từ 51% vốn điều lệ trở lên của tổ chức kinh tế.

Như vậy, nếu tỉ lệ vốn mà nhà đầu tư nước ngoài nắm giữ dưới 51% hoặc ngành nghề kinh doanh hiện tại của doanh nghiệp nhận vốn góp, cổ phần có điều kiện không áp dụng cho nhà đầu tư nước thì nhà đầu tư nước ngoài không được phép thực hiện đầu tư theo hình thức nêu trên.

Thủ tục này tạo điều kiện thuận lợi cho nhà đầu tư nước ngoài thực hiện hoạt động M&A tại Việt Nam và được thực hiện tại Sở Kế hoạch và Đầu tư.
