Căn cứ vào:
- Bộ luật dân sự và nghị quyết số 45/2005QH11 ngày 14/06/2005 của quốc hội về việc thi hành bộ luật dân sự có hiệu lực từ ngày 01/01/2006.
- Luật thương mại của nước CHXHCN Việt Nam đã được quốc hội nước CHXHCN Việt Nam khóa XI, kỳ họp 7 thông qua ngày 14/06/2005.
- Nhu cầu thực tế của hai Bên.

Sau khi bàn bạc thống nhất, hai bên đồng ý ký kết hợp đồng giao nhận hàng hóa XNK với các điều khoản sau:

ĐIỀU 1: NỘI DUNG
Bên A thực hiện qua trình xuất nhập khẩu hàng hóa cho bên B với các chi tiết như sau:
1. Tiếp nhận chứng từ từ phía bên B, tiến hành lên tờ khai.
2. Bên B tự bổ sung những chứng từ cho là cần thiết có liên quan đến thủ tục Hải quan.
3. Thực hiện quy trình nghiệp vụ Hải quan để nhập hàng và xuất hàng cho bên B.
4. Điều xe vận chuyển hàng hóa cho bên B.
5. Đại diện bên B giải quyết các vấn đề có liên quan đến lô hàng.
6. Giao và nhận những chứng từ phía hãng tàu có liên quan tới lô hàng.

ĐIỀU 2: GIÁ TRỊ HỢP ĐỒNG

Giá dịch vụ hải quan và vận chuyển: theo bảng báo giá đính kèm

● Löu yù:
- Giá trên chưa bao gồm: thuế nhập khẩu, VAT nhập khẩu, VAT dịch vụ , VAT xếp dỡ, Phí D/O, Phí nâng hạ, Phí kiểm đếm tại cảng, phí hạ rỗng, phí lưu cont, lưu bãi…(nếu có).
- Giá trên không bao gồm cước vận chuyển quốc tế.
- Các khoản phí chi hộ, các khoản phát sinh khác do sai sót của khách hàng: hàng sai, chứng từ sai.
- Giá trên đã bao gồm phí dịch vụ hải quan, vận chuyển, phí xếp dỡ tại kho công ty, kiểm tra chất lượng nhà nước, hợp quy cho từng lô hàng.
- Chi phí vận chuyển có thể thay đổi tùy vào thực tế.
- Giá trị hợp đồng có thể thay đổi, nếu có sự thay đổi hai bên sẽ bàn bạc và thống nhất bằng phụ lục hợp đồng.
ĐIỀU 3: ĐIỀU KHOẢN THANH TOÁN
1. Giá trị hợp đồng được thanh toán theo từng lô hàng ( chi tiết thể hiện ở Điều 2).
2. Beân B tạm ứng trước 30%, 70% thanh toán trong vòng 15 ngày tính từ ngày hàng về kho.
3. Hình thức thanh toán: Tiền mặt hoặc chuyển khoản.
4. Những khoản phí do lỗi bên A, bên B không cần thanh toán.
5. Bên B thanh toán cho bên A các khoản chi phí phát sinh thêm do lỗi cung cấp chứng từ gốc sai hoặc do hàng hóa có sự sai sót.

ĐIỀU 4 : HIỆU LỰC HỢP ĐỒNG
1. Hiệu lực hợp đồng: Hợp đồng có hiệu lực kể từ ngày hai bên kýù.
2. Thời hạn hợp đồng: 1 năm.
3. Chấm dứt hợp đồng: Hai bên được quyền đơn phương chấm dứt hợp đồng nếu thỏa thuận giữa hai bên không thành công.

ĐIỀU 5: TRÁCH NHIỆM, NGHĨA VỤ CỦA MỖI BÊN
1. Beân A :
- Thực hiện công việc của bên B giao một cách nhanh chóng.
- Tạo điều kiện thuận lợi để việc nhận hàng, xuất hàng của bên B diễn ra một cách thuận lợi
- Hạn chế đến mức thấp nhất các chi phí phát sinh có thể xảy ra.
2. Bên B :
- Cung cấp chứng từ gốc cho bên A một cách kịp thời và nhanh chóng, phối hợp chặt chẽ với bên A trong suốt quá trình thực hiện Hợp đồng..
- Tất cả những chứng từ do bên A cung cấp trước khi gửi tới Chi cục Hải quan phải kiểm tra tính chính xác.
- Đóng thuế nhập khẩu, và các khoản thuế khác theo quy định của pháp luật,
- Cung cấp tên hàng, chủng loại, chính xác và đúng theo quy định nhập khẩu của pháp luật,
Không nhập khẩu hàng cấm, hàng sai với khai báo HQ.

ĐIỀU 6: ĐIỀU KHOẢN CHUNG :
- Hai bên cam kết thực hiện đầy đủ các điều khoản đã ghi trong hợp đồng này. Nếu bên nào không thực hiện đúng trong hợp đồng, gây thiệt hại cho bên kia thì hai bên thỏa thuận cùng bàn bạc tìm biện pháp giải quyết.
- Hợp đồng này được thành lập 2 bản, có giá tri như nhau giao cho mỗi bên giữ 1 bản.
